Our ideal candidate would have 5+ years' experience in a law firm/corporate setting working on contracts of various types. The Corporate Counsel will work with various departments and aim to reduce risk through extensive attention to detail and document revision and offer guidance on employment law. Also responsible for managing various corporate contracts including drafting, analyzing, and negotiating on behalf of the company.

ESSENTIAL DUTIES AND RESPONSIBILITIES:

Participates in the definition and development of corporate policies, procedures and programs and provides continuing counsel and guidance on legal matters and on legal implications of all matters;

Participates in the due diligence of Mergers and Acquisitions

Provides legal guidance on matters of employment law

Manages the organizations policies towards achieving growth through mergers and acquisitions

Analyzes impacts of M&A on the organization, estimating cash flow and potential for profitability

Negotiates, writes and executes agreements and vendor contracts on behalf of the company;

Effectively and efficiently manage outside counsel.

Provide legal support for product development, including interpreting and translating technical concepts like privacy laws, patents, and opining on legal risk

Report on ongoing compliance monitoring activities in coordination with the organization's other compliance and operational assessment functions.

Review, draft and negotiate a wide variety of sophisticated commercial contracts, such as vendor/procurement, sales/service, and non-disclosure agreements

Advise various internal departments regarding contract terms and implications on business operations, including providing mentorship and practical solutions

Legal research projects and commercial disputes

Draft and respond to demand letters related to contract matters

Offers counsel on various legal issues;

Advises executives within the company;

Works alongside other departments within the company;

Advises on contract status, legal risks, and the legal liabilities;

Researches and anticipates unique legal issues that could impact the company;

Attends corporate meetings and keeps minutes;

Maintains all current and future facility lease agreements;

Provides legal guidance on Human Resource and Employee Relations matters;

Structure, draft, and negotiate agreements with customers and partners, including technology-related agreements, professional services agreements, nondisclosure agreements, and data sharing agreements;

Respond to contract related inquiries and provide guidance as a subject matter expert;

Negotiate with external customers on vendor and client contracts, business associate agreements and other commercial transactions;

Support the needs of the Sales to review and negotiate agreements, manage the contracting process and drive deals to closure;

Maintain compliance with policies, procedures and mission statement;

Fulfill those responsibilities and/or duties that may be reasonably provided for the purpose of achieving operational and financial success of Employer.

MANAGEMENT SYSTEM (IMS) RESPONSIBILITIES:

Improve work processes.

Provide input and verify that documented procedures are adequate and accurate and in support of achievement of the strategy

Understand the IMS policy and how it applies.

Keep records and data on pertinent business outcomes.

Participate in internal audits.

Participate in ongoing process improvement.

Participate in external registration and surveillance audits.

Directly support methods and practices of the IMS Process through personal compliance and visible support actions.

Support CSR activities

MINIMUM QUALIFICATIONS:

JD from an accredited law school and licensed to practice law in any US state or D.C.

A minimum of five years experience working at a law firm, corporate legal department or similar environment

Tangible experience in commercial contracting, including drafting, reviewing, negotiating and advising business partners on complex agreements

5 years or more in Employment Law

Experience with acquisitions and mergers preferred

High volume commercial transactions experience with a sales-driven, software or other technology company is preferred;

Exceptional business judgment, with the ability to think strategically and provide practical advice by balancing business needs with legal risks;

Ability to work in a fast paced and dynamic environment; and

Solutions oriented mindset and positive approach to daily business.

SPECIAL REQUIREMENTS: Some travel may be needed.
