The General Counsel will be responsible for leading all corporate strategic and tactical legal initiatives for Perry Ellis International. This role will provide senior management with effective advice on company strategies and their implementation, manages the legal function, and oversees the work of outside counsel. The General Counsel will participate directly in complex business transactions and negotiate critical contracts and agreements for the organization across all areas of the business. The General Counsel should be a business-oriented attorney with the ability to recommend solutions and strategies to the business team and be able to manage multiple, complex projects in a fast-paced environment.

KEY RESPONSIBILITIES:

Participates in the definition and development of corporate policies, procedures and programs and provides continuing counsel and guidance on legal matters and on legal implications of all matters

Serves as key legal advisor on all major business transactions

Assumes ultimate responsibility for ensuring that the company conducts its business in compliance with applicable laws and regulations

Judges the merits of court cases filed against or on behalf of the company and works with the appropriate executive(s) to define a strategic defense and approves settlements of disputes where necessary

Structures and manages the company’s internal legal function

Oversees the retention, management and evaluation of all outside counsel

Advises on legal aspects of the company’s financing, including assessing and advising on current and future corporate business structures and legal entities

Advises the business on legal issues related to purchase and sale agreements, vendor agreements, retail and wholesale leases, nondisclosure agreements, consultant agreements, license agreements, supply chain agreements, distribution agreements, IT/technology related agreements and marketing agreements and by drafting form agreements for use by the company

Review and interpret executed contracts to advise the business team on situations as they arise

Study proposed and existing legislation related to operations of the company and advise affected departments

Consulting on cross-border matters worldwide

Implement technologies that will save time and review expenses of the department

Exposure to and familiarity with the following areas of law: real estate, privacy, technology, intellectual property, procurement, marketing and other matters

MINIMUM REQUIREMENTS

15+ years of experience practicing law; 7-10 years structuring, drafting and negotiating complex transactions

Experience dealing with cross-border matters

Some fluency in finance and accounting concepts

M&A and/or leveraged finance experience a plus

Broad overview experience in intellectual property law, including patent law, licensing of IP rights and IP due diligence

J.D. degree from an accredited law school; member of state bar in Florida

Bi-lingual experience preferred
