This position is the top legal and compliance executive for Ashford. We are looking to hire a highly talented General Counsel to be the subject matter expert in driving thoughtful solutions and providing legal advice in our fast-paced, collaborative environment. This position has three public companies under its purview, including two REITS that together own over 100 hotels.

Essential Functions:

• Partner with the executive and other teams to provide strategic advice on a wide range of legal matters such as corporate finance, securities, governance, employment, executive compensation, dispute resolution, and more

• Lead major transactional work for the team on mergers & acquisitions

• Liaison between executive team and 3 public company boards

• Heavy oversight of securities filings and related party matters

• Provide legal interpretations and guidance to management and personnel

• Proactively seek options and best practices to mitigate legal issues and risks

• Provide advice and counsel to help the business stay up-to-date and comply with regulatory and compliance requirements, including SEC/NYSE and other agencies

• Managing multiple outside law firms and other service providers

• Review, analyze, and negotiate contracts and other legal documents

• Apply effective risk management techniques and offer proactive advice on possible legal issues

• Drive, inspire, and lead the legal department to produce the best outcomes possible

• Work on challenging and dynamic problems in a team atmosphere

Requirements

• J.D. from an ABA-accredited law school and member in good standing of at least one state bar

• 8+ years of substantive in-house legal experience, ideally with hospitality industry (accommodations and lodging) experience preferred.

• Proven experience building and leading successful teams

• Ability to develop legal strategy and plan and execute organizational protocols, practices, and procedures.

• Superior written and verbal communication skills.

• Excellent organizational and time management skills.

• Knowledge of employment law is a plus.

• Strong moral and ethical principles.

• Excellent judgement and analytical skills and ability to analyze situations and synthesize information.

• Problem solver, driven, self-motivated, and "outside of the box" thinker.

• Excellent knowledge of a wide range of legal issues.

• Deal with outside entities such as regulators and outside lawyers.

• Ensuring the local, national, and federal laws and regulations are followed.
