General Counsel

The ideal candidate would be someone who is growing in their legal career and is looking to continue this in a scaling, SaaS and e-Commerce business. This is a hands-on role, often juggling multiple projects at once.

In a “typical” day, our General Counsel might be involved in any of the following:

Draft and negotiate major strategic agreements supporting ShootProof’s business in coordination with various internal stakeholders throughout ShootProof’s organization

Support finance, product, engineering, privacy compliance, advertising, marketing, e-commerce, IT operations, general procurement, and other commercial functions

Structure, draft and negotiate a wide variety of procurement agreements, licenses, distribution agreements, promotional agreements, product development agreements, and other commercial agreements

Provide advice and counseling on a wide range of legal topics, including intellectual property, compliance, risk management, escheatment, sales and use tax, and global data protection and privacy issues

Develop, draft, and implement standardized contract templates and processes

Handle a range of potential litigation matters involving legal, regulatory and business disputes

Oversee outside counsel

Support commercial due diligence in corporate transactions

Coordinate closely with accounting, operations, marketing, and other business partners

Development of policies, procedures and training as needed

This position reports to our CFO, but will work closely with the whole executive team and can be based anywhere.

Qualifications

We’d love to hear from you if you have:

J.D and active membership in at least one state or qualification to work as in-house counsel in the State of Georgia

3-5 years of legal experience (law firm or in-house preferably with a technology company)

Strong legal acumen

The ability to strike a sensible and practical balance between legal risks and business objectives

Excellent contract drafting skills and ability to come up with creative legal solutions to complex and novel issues

Excellent written and verbal communication skills

A keen eye for detail and an attitude that no job is too big or too small and a sense of humor

Excellent work habits, including a willingness to work the hours necessary to get the job done, especially when important deadlines cause greater than normal departmental pressures

Things that would put you over the top:

Experience with contract drafting / negotiating with 3rd party fulfillment companies in the photo or eCommerce industry

Experience and working knowledge of SaaS products, intellectual property laws and cross-border contractual issues

Mergers and Acquisition experience

Payments (PayFac) experience

Experience working in a Private Equity portfolio company

You’re a photographer, either professional or amateur, or have experience in the photography industry.
