Role: In-House Counsel

ICON is looking for an experienced attorney to be ICON’s first lawyer. This person will lead and manage the Company’s broad and varied legal efforts in a fast-paced environment. Strong preference for experience with commercial agreements and licensing, corporate transactions, and high-growth companies. Primary responsibilities are to provide guidance and strategy to the executive team, manage corporate and commercial document processes, and work closely with ICON’s outside counsel teams.
RESPONSIBILITIES
- Provide guidance and proactive legal and compliance strategy to the executive team on a wide range of legal areas
- Build and manage internal processes for legal documents
- Work closely with outside specialist law firms, including (but not limited to): corporate contracts, government contracts, intellectual property, fundraising, employment, immigration, construction, and real estate
- Negotiate, write, and execute corporate contracts and commercial agreements and licensing (with support from outside counsel)
- Manage legal aspects of employment and immigration needs (with support from outside counsel)
- Establish a cadence of iteration with outside IP counsel
- Working alongside and advising other departments within the company
- Research and anticipate unique legal issues that could impact the company, and advise the executive team
- Review external-facing materials to ensure that they are in compliance with legal requirements
- Provide training to the company on legal topics
QUALIFICATIONS
- Law degree from a recognized university
- Must be a member in good standing of a recognized bar association
- Minimum ten years legal experience, with a minimum of five years experience at a top law firm
- Must have experience (in-house or outside) working closely with high-growth companies
- Preference for experience with technology sectors
- Preference for experience with both public and private companies
- Strong communication and presentation skills
- Strong negotiating skills with both legal and financial/commercial issues
