VineBrook Homes is an internally managed real estate investment company, focused on acquiring, renovating, leasing and operating single-family homes as rental properties. An early investor and developer of the Single-Family Rental home (SFR) asset class, we commenced operations in late 2007. Our proven, yield-focused investment strategy targets a unique opportunity building a portfolio of workforce SFR assets in key secondary and tertiary markets. Our growing SFR REIT portfolio is currently comprised of approximately 14,000 homes. VineBrook Homes is undergoing a major expansion of its strategy, expecting to drive toward 25,000+ homes.

JOB DESCRIPTION SUMMARY

VineBrook seeks a highly qualified in-house General Counsel to oversee and advise on all legal matters and transactions, guide our defense against prospective or pending claims and monitor applicable legal, regulatory and compliance developments. They will advise ownership on strategic initiatives, prepare and review legal documents, negotiate the terms and conditions of transactions and ensure legal compliance regarding mergers and acquisitions (M&A) and portfolio transaction activity. This position will oversee compliance with corporate governance and establish the prudence of defending lawsuits. Superb negotiation and analytical skills are necessary. General Counsel is expected to display influential decision-making with superb research and communication skills.

ESSENTIAL DUTIES/RESPONSIBILITIES

Advise executive, senior management and board on various matters such as legal rights, and new and existing laws

Anticipate issues estimate, mitigate, and/or eliminate risk strategically

Manage organization's legal matters and workflows with internal and external agreements

Provide expert and strategic legal advice

Examine and create draft agreements, such as real estate and contractual agreements

Set internal governance policies and manage the impact of external factors

Maintain knowledge of organization's operations and legal documents

Conduct legal research and review company's litigation strategy pertaining to legal actions

Create and communicate directives of corporate acts and decisions

Preserve all corporate records

Oversee statutory filings, such as real estate and licensing documents

Create new entities and manage organization's intellectual property

Keep abreast of legislative changes

MINIMUM QUALIFICATIONS

High degree of professional ethics and integrity

Outstanding academic credentials including Juris Doctor degree from an American Bar Association accredited law school

At least 5 years of experience directly related to the duties and responsibilities specified

Member of the State Bar, or member in good standing of the State Bar of another state

Proficient legal experience in corporate, real estate and M&A

Excellent verbal and written communication skills

Knowledge of statutes, rules and regulations pertaining to businesses

Proficient understanding of business sensitivities and confidentiality

Excellent judgement and analytical skills

Displays sound judgment and attention to detail

First class interpersonal and communication skills
