Summary of Position

The General Counsel is responsible for leading corporate strategic and tactical legal initiatives, corporate risk management and negotiating and leading financial transactions. They will provide senior management with strategic counsel, oversight, and judgment with regard to legal issues facing the Company, advising on the legal and regulatory risks of possible business decisions.

Essential Functions

Transactional Lead

• Serves as key legal advisor on all major business transactions, including acquisitions, divestitures, and joint ventures.

• Negotiating financing documents with capital providers for debt and tax equity financial transactions.

• Support the financing transactions of solar projects: financial term sheets / LOIs, loans documents, NDA’s.

• Negotiating, draft and execute contracts on behalf of the company, including construction, procurement, and other contracts.

• Build strong relationships with external parties (regulators, external counsel, public authority etc.), through regular communications.

General Corporate Legal

• Assumes ultimate responsibility for ensuring that all company transactions comply with applicable SEC et al. laws and regulations.

• Anticipate and mitigate potential legal problems within the organization and develop strategies to avoid costly litigation and reduce potential areas of risk.

• Oversee dispute resolution with vendors, customers, or other stakeholders.

• Work with project teams throughout the entire project lifecycle providing legal advice on issues as they arise and providing solutions that meet project objectives while complying with departmental guidelines.

• Provide analysis and summarization of complicated transactional documents and advising senior management and internal business teams about the related legal risks.

• Collaborate with a variety of business stakeholders, including procurement, construction, tax, credit, accounts payable, accounting.

• Handle day-to-day corporate governance and compliance matters, including managing corporate entities, executing notice and consent obligations, putting in place corporate resolutions, coordinating required internal approvals, and responding to questions regarding contract interpretation.

Education and Experience

• JD degree required from an American Bar Association accredited law school; active membership in good standing with State Bar Association (NC preferred).

• 7+ years’ legal practice experience.

• 5+ years’ experience working on matters of corporate governance and with a board of directors.

• 5+ years’ experience managing other attorneys and supervising support staff in a corporation.

• 7+ years of legal experience in a transactional or regulatory practice.

• Experience with cost-effective management of outside legal resources.

• Experience in project development handling the development, construction, and operations of power or energy projects with experience in distributed solar projects preferred.

Knowledge, Skills, and Abilities

• Excellent knowledge and understanding of corporate law and procedures.

• Proven understanding of national and international labor, trademark and copyright laws.

• High level of organizational skills and time management skills.

• Ability to manage heavy workload in a fast paced, high-pressure environment.

• Good communication (oral and written) and interpersonal skills.

• Must be proactive in providing counsel.

• An entrepreneurial attitude and work ethic with a desire to roll up your sleeves and get the job done in a fast-paced environment and rapidly growing business.

• Willingness to be flexible about your work schedule to support closings and to meet deadlines.

• Proven corporate risk manager.

Working Conditions

This job operates in a professional office environment. This role routinely uses standard office equipment such as computers, phones, photocopiers, filing cabinets and fax machines. Ability to sit at a computer terminal for an extended period. Moderate noise (i.e. business office with computers, phone, and printers, light traffic).
