The General Counsel is an important part of the Company’s management team, providing legal counsel on key business matters relating to securities transactions and reporting; corporate governance; litigation; contracts; regulatory; insurance, risk and dispute management; labor and employment.

Requirements

Manage all legal matters for a high growth biotech company

Advise senior management on strategic and complex business issues including deal structuring, risk management and operational matters

Manage all legal matters relating to complex transactions, including mergers, acquisitions, and joint ventures both nationally and internationally

Analyze, formulate and implement legal strategies in a way that preserves operational imperatives while mitigating legal risk

Oversee the analysis, direction and management of all pre-litigation and litigation matters; including but not limited to settlement negotiation and coordination with outside counsel

Structure and negotiate business agreements, including merger/acquisition agreements, license agreements, R&D agreements, supply, manufacturing and distribution agreements, government contracts, real estate contracts, joint ventures and strategic alliances

Advise the Board of Directors and its committees on matters of corporate governance

Provide legal oversight for investor relations and public relations matters

Oversee compliance with securities, corporate, international, intellectual property, food and drug, antitrust, employment, government contracting, environmental, health & safety, and cybersecurity laws, as well as assisting with the development and implementation of corporate policies including insider trading and disclosure policies, code of ethics, document retention policy, and risk management and compliance programs

Qualifications

J.D. from a law school accredited by the American Bar Association (ABA)

Admitted to practice law in California

10+ years of related experience within a biotech or life sciences company, with a strong preference for experience serving as General Counsel of a publicly traded company

SEC and corporate governance experience

Deal structuring and contract law experience

Commercial launch experience in biotech or life science company a plus

Proven leadership and influencing skills, relationship building and strong negotiation skill

Outstanding business acumen, legal reasoning and analysis, and strategic thinking ability

Good organizational, communication and presentation skills
