OPPORTUNITY

The General Counsel is responsible for overseeing Mammoth’s legal team. As the top in-house legal executive, the General Counsel will provide senior management and the board of directors with effective legal counsel on company strategies and their implementation, manage legal functions at the company, and assess and manage risk. Duties of this position include: corporate governance, securities, compliance, employment law, commercial transactions, litigation, regulatory, privacy, and intellectual property.

KEY RESPONSIBILITIES

Develop plans for managing legal matters, including activities to be performed in house or through outside counsel, to efficiently and effectively manage the company’s legal activities

Manage and direct general corporate matters, including corporate organization, securities compliance, general transaction support, employment law, regulatory matters, compliance, and financial matters

Draft, review, and negotiate a wide variety of agreements including investment, confidentiality, material transfer, license, advisory board, market research, and other intellectual-property-related matters with domestic and international parties including clients, partners, vendors and users ranging from global biotech companies to healthcare organizations, research and clinical sites, landlords, subcontractors, and government agencies

Structure key business initiatives in a manner that helps to achieve business objectives protecting legal, regulatory, and tax directives and considerations

Ensure compliance with securities regulations, corporate governance requirements and other relevant legal and statutory requirements

Coordinate board of director meetings and acts as the corporate secretary preparing meeting minutes and maintaining appropriate corporate records. Advise on legal aspects of the company’s financing activities and corporate structure considerations, including assessing and advising on current and future business structures and legal entities

Provide leadership and technical guidance to ensure an effective compliance program Oversee development of programs to prevent and detect violations of laws, company policies, and other misconduct; promote ethical practices; and ensure the implementation of the compliance program throughout the organization

Proactively address evolving regulatory and governance compliance environment, including changes in laws, regulations, regulatory focus areas and industry best practices

Enforce claims the company may have against third parties, as appropriate and defend the company against third party claims and litigation

Partner with Human Resources on employment law matters

Address rapidly evolving regulatory and governance laws and regulations

Provide oversight and leadership for all legal needs of the business, including but not limited to providing legal advice and guidance across business functions

Manage the growing legal team

REQUIRED QUALIFICATIONS

JD with 10 years of experience in biotechnology, pharmaceutical, and/or diagnostics industries with 3+ years of in-house experience at Associate General Counsel level or higher

Experience in fast-growth, start up environment

Admitted to practice in at least one state in the US

Demonstrated experience managing legal teams and activities

PREFERRED QUALIFICATIONS

5+ years in-house experience as General Counsel or Associate General Counsel role

Experience in-house in both private and public settings

Demonstrated experience in securities, compliance, FDA and healthcare regulations

Ability to lead as well as collaborate and work in a team environment

Admitted to practice in California

Excellent communication, organizational, planning and management skills, with the ability to handle multiple projects simultaneously

Strong intellect, excellent legal acumen, and rigorous analytical skills

Ability to serve as a project lead on departmental initiatives and manage and mentor other legal department teammates

Experience working in cross-functional teams, as well as sound business and legal judgment, and strategic and analytical thinking

Ability to identify opportunities to leverage existing systems and processes, create new process initiatives and solutions

Strong follow-up skills, ability to manage multiple conflicting priorities, ability to drive projects with little guidance or direction

Ability to be highly engaged and succeed in a collaborative and fast-paced environment

Professional communication skills in writing and verbally
