General Counsel

Location: Bingham Farms, MI

Principal Duties and Responsibilities:

Regulatory compliance & Risk Management

Manage with CCO (if not otherwise assigned to GC) a proactive compliance program that audits, investigates, and addresses risk issues for skilled nursing facilities and long-term care facilities

Ensure the facilitys revenue stream is insulated

Support business units in ensuring compliance with and training on applicable laws and regulations

Pro-actively identify and help organization manage risk by understanding companys business

Develop and manage advocacy/lobbing efforts for improved state and federal laws and regulations

Sit on advocacy boards (HCAM, MALA)

Chair (or Co-chair) compliance committee

Ensure quarterly reporting to ownership

Ensure that all licensing (Medicaid, Medicare, staff, labs, etc. are maintained)

Ensure exclusion screening of employee and contractors

Collections review collections practices

Litigation & Outside Counsel Management

Manage all counsel handling litigation or other matters to minimize costs

Understand status of all work (including litigation)

Contracts

Implement processes for review and management of all company contracts

Process will ensure legal review before execution of any contract

Support purchasing department in implementing form contracts for purchasing goods and services

Teach and support buyers

Human Resources

Physician contracting make sure at FMV and no value for referrals

Manage so that no increased or unnecessary costs on the health care system

Staff contracting with SEIU

Draft employment and termination agreements

Support and advise on HR decisions

Manage relationship with HR department

Cost Control

Reduce legal costs by some work being performed in-house

Reduce legal budgets by standardizing contract work

Reduce legal budgets by negotiating fees reductions or fixed-fee work

Corporate governance

Formation of LLCs and Corporations

Draft by-laws, rules, regulations, minutes

Support annual meetings

Ensure annual minutes prepared for companies

Financings

Support negotiations of financings and draft documents

Will have through knowledge of financings covenants to guide other business decisions

Ensure, with tax/financing department, company maintains covenant compliance

Acquisitions

Support negotiation of acquisition of other businesses

Draft purchase agreements

Close deals

Real Estate

Support, negotiate and draft documents for leases, acquisitions, or dispositions of real estate

Draft construction contracts and manage projects

Manage landlord tenant issues

Intellectual property

Support obtaining, I/P protections for business processes and technology

Counsel

Provide legal counsel to management at all levels of the company
