The Job:

Tango Card, Inc. is a privately-held Seattle-based company that provides state-of-the art digital rewards and incentives programs that support enterprises of all types and sizes. Now, Tango Card is evolving into a fuller financial services company and is at a point in its growth and development where it desires to develop a larger in-house legal team skilled at handling a diverse set of corporate issues. We seek a well-qualified, energetic, innovative, and personable team member to serve as a new Chief Legal Officer (CLO) and be a key contributor to our expansion.

You will join a ~200 employee private enterprise that is consistently included on lists of Seattle’s Best Places to Work. You will be a catalyst that guides and promotes the Company’s robust growth path, including emerging into new markets and the provision of leading-edge services. Given our growth trajectory in the industry, the Chief Legal Officer (CLO) is a strategic business partner that manages legal tact as well as aligns legal and business strategies, suggests innovative business solutions, mitigates risk, and ensures legal efficiency. As the CLO, you will focus on both the legal and compliance department and provide valid business solutions to arising regulatory challenges while keeping the company’s business model and goals in mind.

Reporting to the CEO, you will be part of a Leadership Team that creates a culture of responsibility, respect, integrity and accountability.

Our CLO will reside in the local Seattle metro area.

Role Focal Areas:

• Financial Services: Money Transmission (licensing, compliance, modification, examinations, enforcement actions)

• Commercial: Customer, Vendor, and consulting agreements

• Regulatory: Infosec and Privacy (HIPAA, GDPR, CCPA, GBL, etc.)

• Intellectual Property: Trademark, Patent, Trade Secret

• Corporate: Governance, M&A

• Administrative: Employment/workplace issues, Insurance, Leases

• International (a growing focus of the Company)

As CLO, your responsibilities will be to:

Develop and lead legal strategy to promote and protect the company

Optimize legal efficiency and effectiveness to serve the business

Monitor legal change changes that affect the company and our industry

Anticipate and proactively develop strategies to address changes in regulatory requirements

Serve as a trusted advisor that proactively engages the leadership team and the Board on strategic legal matters that impact the business

Partner with internal teams (e.g. Product, Technology, Finance & Accounting, etc.) to provide business solutions that balance innovation with risk and secure our brand and reputation

Facilitate the relationship and manage the costs associated with outside counsel (including a leading multinational law firm)

Design and lead internal audit and corporate compliance programs

Hire, support, and develop a legal department of attorney(s), including Corporate Counsel, and paralegal(s) that provide proactive and coordinated support and guidance

Draft, review, and negotiate a wide variety of contracts as necessary

Litigate when necessary

To be effective as CLO, you must have the following education and experience:

A minimum of fifteen years' of practice, including a significant portion in a corporate counsel role, preferably in the financial services sector

U.S. citizenship

Member of a State bar in good standing

J.D. (or equivalent) from an ABA accredited law school

Excellent academic credentials

Experience in commercial negotiations and contract draftsmanship

Experience in a Chief Legal Officer, General Counsel, or Deputy General Counsel role

Experience in financial services and compliance, particularly with respect to money transmission and payments (preferred)

Experience in technology and eCommerce environments (preferred)

Ability to align legal and business strategies to enable value creation

Knowledge of accounting and financial concepts and terminology

Skilled in data privacy and security issues and requirements

Skilled in business acumen and risk tolerance appropriate for the Company

Ability to approach and navigate status quo as a change agent

Ability to learn new legal concepts quickly

Ability to analyze and interpret issues and prepare legal options quickly

Ability to delegate authority

Ability to handle corporate governance, IP, and HR matters in-house

Ability to organize and prioritize multiple projects

Knowledge of business collaboration tools

Ability to navigate and resolve problems

Ability to develop and maintain meaningful relationships with leadership teams and Board members

Ability to communicate with all levels across the organization, outside counsel, Board members, and third parties

Ability to supervise, train, implement key performance metrics, and foster a collaborative work environment for legal team members

Role Note:

As Chief Legal Officer of a licensed Money Services Business, your appointment will be subject to approval of the Company’s Board. Prior to fully assuming your duties, you must pass regulatory examination of your personal background and maintain such in good standing throughout your tenure.
