Intrinsic is a venture-backed company that buys, builds, and optimizes brands and products in the consumer healthcare space. We target companies founded by entrepreneurs that primarily focus as third-party sellers on Amazon. We have a team of digital health and e-commerce veterans that bring talent and capital to these companies and empower them to grow and reach a large group of consumers who need their products. Intrinsic was founded in partnership with Redesign Health and has raised $115 million to date. Investors include Define Ventures, Link Ventures, Dr. Oz and Tony Robbins.

About the Job

As our General Counsel, you will drive all legal matters for an exciting startup bringing better health to families across the world and building a bridge from commerce to care.

This is a unique opportunity to move out of big law, while maintaining a big equity upside. It's a relatively "safe" move to start-up, since the business model is validated and we have lots of funding

Our legal department will be a one-man/woman show for the foreseeable future. Will need to get "hands dirty" without support of junior staff.

You will report to the CEO at our New York City headquarters.

What you'll do:

• Work with team members at all levels of the organization to build the company’s legal strategy
  • Lead legal strategy and implementation for brand acquisition and M&A
  • Oversee debt and equity financings and coordinate with investors.
  • Research & advise all areas of potential risk and liability
• Develop and execute product risk mitigation strategy
  • Research & advise all areas of potential risk and liability, especially with regards to health and wellness and product liability
  • Oversee and manage all organizational compliance obligations, including policies and documents as it relates to company obligations, HR employee safety and consumer protection.
  • Regularly collaborate with business team members across functional areas, including product, marketing, engineering, finance, sales, and HR
• Independently manage our legal operations
  • Coordinate and leverage outside counsel to meet business objectives
  • Partner with business teams and lead the negotiations and drafting of a wide range of contracts, including real estate, vendor, partnership, manufacturing, sales and all other third party contracts.
  • In partnership with outside counsel, you will help guide Intrinsic on all corporate legal matters, including but not limited to: corporate governance; employment and HR; sales, partnership and vendor contracts; real estate; data privacy; intellectual property; and corporate transactions.
  • Develop and refine marketing compliance guidelines and review marketing materials.

What you'll need:

• Background
  • Excellent academic record at a top law school.
  • NY State Bar Admission
  • 10+ years of relevant experience at a top corporate law firm and/or in-house legal division.
  • 2+ years of management experience
  • A demonstrable track record of quickly learning new areas of law and providing timely, effective, and strategic legal advice in a fast-paced environment where business priorities are frequently changing.
  • Demonstrated experience managing legal interests and competing business interests
  • Experience with product liability

• Skills
  • Proven experience in M&A and CPG
  • E-commerce, healthcare, and wellness experience is a plus
  • Extremely detail oriented
  • Ability to work independently with little guidance, as well as collaboratively in a collegial environment with business team members and outside counsel.
  • Ability to think through complex regulatory issues and translate legal literature into easily understandable reports.
