JOB SUMMARY:

777 Partners seeks an experienced attorney to serve as General Counsel to its Asset Management subsidiary, advising colleagues in both London and U.S. offices An ideal candidate will be a nimble advisor, with strong fundamental knowledge and an ability to adapt to a rapidly changing environment.

DUTIES AND RESPONSIBILITIES

Drafting and reviewing contracts of all types, including NDAs, credit agreements, investment products, and operating agreements

Assisting business principals with the evaluation and due diligence on potential investment targets

Assisting with legal department interface with Chief Financial Officer, Chief Human Resources Officer, and Chief Technology Officer

Managing outside counsel on discrete transactions

Collaboration with business principals and in-house legal at portfolio companies on a regular basis

Managing relationships with legal department vendors

Assisting as needed with management of any litigation matters or other disputes involving the company or its holdings

SKILLS / KNOWLEDGE / ABILITIES

Extensive experience executing a wide range of transactions for an insurance asset management affiliate.

Significant working knowledge of regulatory and asset allocation rules for insurance company investments, including statutory investment guidelines for U.S. states and experience with the guidelines of the Bermuda Monetary Authority (“BMA”), and Securitization experience

Substantial experience with alternative and structured asset originations, including esoteric and non-correlated asset classes. Must have familiarity with securitizations in multiple asset classes.

Substantial experience with lending transactions

EDUCATION AND EXPERIENCE

15-20 years’ experience in corporate transactions, investment and asset management, and capital markets transactions.

Practice at an American Lawyer 100 firm or equivalent boutique firm is expected. The confidence of partnership at such a firm or prior in-house experience at an insurance company asset management arm is preferred.

Top law school credentials required.

Must be admitted to practice in one United States jurisdiction and be in good standing.

Dual qualification as a Solicitor in English/Wales is highly valued
