The General Counsel will be an ambassador of Cuellar & Associates, LLC. We are seeking an experienced securities attorney to handle highly complex legal assignments within Cuellar Capital operating under minimal supervision. Generally, our candidate should have at least ten years’ experience as a practicing JD or lawyer. Candidates should have experience in sophisticated public and private merger and acquisition transactions, securities law, private equity transactions and corporate governance matters. The ideal candidate will also have a strong academic record, exceptional analytical and writing skills and be a true team player. Provides legal advice and carries out actions which have an impact upon the rights, privileges and responsibilities of the Company while maintaining high standards of legal and business ethics and professional responsibility.

Responsibilities:

Represents and advises the Company in substantial legal and business transactions which require legal expertise and generally involve a high degree of original and creative legal endeavor, evaluation of complex or novel issues, or vigorous adverse parties.

Reviewing, drafting, analyzing, interpreting, advising and negotiating various forms of reinsurance agreements for companies as its primarily accountable attorney including ceded and assumed reinsurance contracts (treaty and facultative) commutations, adverse development covers, and related documentation including contract amendments and reinsurance collateral arrangements.

Participating as Cuellar & Associates' primarily accountable attorney in the reinsurance aspects of mergers and acquisitions including due diligence and appropriate structuring, documentation preparation, review, and negotiation, as necessary.

Assistance with, and oversight of, as Cuellar & Associates' primarily accountable attorney in reinsurance disputes, arbitrations, collections, and audits including management of outside counsel.

Advises client department managers; participates as requested in the formulation of policy for the Company.

Performs comprehensive research in assigned areas of specialization; directs, focuses and refines comprehensive research of others.

Representative duties beyond the reinsurance matters noted above include: Coordinating and synthesizing the Company`s position in response to changes in the law; representing the Company before legislative, regulatory and administrative bodies; managing multi-party or other complex litigation; planning legal strategies and representing the Company in regulatory matters of insurance; and advising the Company on questions complicated by the absence of precedent.

May assign, direct, and review the work of other attorneys, law clerks and paralegals.

May prepare and conduct training sessions for internal clients.

Maintains current knowledge of legal issues and developments in the law.

Other duties may vary according to practice group.

Requirements:

Completion of law school with a J.D. or L.L.B. and admission to the bar of at least one jurisdiction in the United States is preferred.

Requires at least five years` experience as a practicing attorney or JD.

Knowledge or mergers and acquisitions

Excellent analytic, legal writing and communication skills, client focus, managing multiple priorities, and attention to detail.

Familiarity with corporate and insurance business operations and objectives and demonstrated ability to interact with Company personnel as well as outside counsel and representatives of other companies and adversaries.

Requires expert knowledge of reinsurance law matters.
