We are proud of what we do and now you have an opportunity to be a part of it too! We are currently seeking a Vice President, General Counsel to join our team in Hollywood, FL.

Summary: Oversee all aspects of our legal, compliance and risk management functions. Will play a significant role in the development of new business opportunities and expansion into new markets and verticals.

Duties: All duties performed will be done accurately and in a timely manner.

1. Provide general legal counsel to all business functions on a wide range of commercial and operational matters, including assisting with contract negotiations, regulatory issues, marketing initiatives and other matters.

2. Working with our COO, develop and manage all aspects of our risk management strategy and functions, including business insurance policies, compliance with internal governance programs and external regulations and managing company litigation.

3. Manage the company’s comprehensive health care compliance program and ensure full compliance of the company with all applicable laws and regulations.

4. Collaborate across the organization to ensure the company is compliant with relevant regulations.

5. Advise the company on financing matters, including assessing and advising on current and future business structures, transactions and legal entities.

6. Provide counsel on employment related matters.

7. Manage the company’s trademarks and other intellectual property.

8. Set up new company entities in states company is expanding into pursuant to applicable laws and regulations and ensure company is fully complying with all applicable legal and regulatory requirements governing health care entities.

9. Oversee the work of outside legal counsel.

10. Ensure our periodic Board meetings comply with our corporate governance documents.

11. Organize and manage due diligence projects related to acquisitions.

12. Take an active role in driving growth, through forging new and managing strategic partnerships, as well as new market development.

13. Communicates in a clear and understandable manner using appropriate verbal and non-verbal styles.

14. Actively participates in departmental activities to improve training methods and achieve company goals.

15. Assists with one-on-one training and coaching sessions as assigned.

16. Attends required meetings and participates as a committee member as requested.

17. Assists with special projects as needed.

18. Maintains strict confidentiality.

19. Other duties as assigned.

Education and Experience:

J.D. and bar membership.

Healthcare industry experience.

3. Significant experience representing businesses, including negotiating and interpreting contracts.

Experience building out and managing legal, risk management and compliance functions.

7+ years in a top regional or national law firm, and/or in-house legal department as a General Counsel in the healthcare industry.

Excellent oral and written communication skills, interpersonal skills, and work ethic.

Possess the highest standards of ethics and professional integrity.

Experience with mergers and acquisitions.

Self-starter who can multi-task, prioritize, and manage a multitude of conflicting priorities against competing deadlines.

10. Collaborative and ability to develop strong partnerships with internal and external strategic partners.

11. Extensive knowledge/experience in corporate governance matters.

12. Proven ability to work well with Board of Directors.

13. Knowledge of federal and state laws, rules and regulations impacting businesses.

14. Knowledge of employment law.

15. Exceptional analytical and communication skills including the ability to analyze, organize, and effectively present legal issues, opinions and recommendations to a variety of constituents.

Work Environment: Office setting.

Physical Demands: Requires manual dexterity, sitting, standing, stooping, reaching, kneeling, crouching, bending, walking, lifting up to 25 lbs. Close vision and ability to adjust focus.
