We are looking for a General Counsel to support all legal and compliance matters of Company’s online, physical, and omni-channel retail operations. The ideal candidate demonstrates strong work ethic, is motivated, inquisitive, and enthusiastic about retail, and committed to provide outstanding service every day.

This role is responsible for a broad array of legal opportunities, which may include regulatory, contracts, litigation, real state, data privacy and commercial issues. The General counsel will partner with internal and external stakeholders to meet business objectives and ensure compliance with laws and regulations.

The position will report directly to the President of the Company.

Responsibilities:

Provides legal counsel and guidance to the President of the organization and to the executive team on all relevant legal matters.

Exercises exceptional judgement to advise the Executive team and contribute to the overall success of the business.

Anticipates and identifies legal issues and counsels company’s officers to develop legal strategies and solutions of significance.

Provides legal advice to manage litigation, to define risks and is able to concisely and clearly communicate the benefits of litigation strategy.

Manages and coordinate all aspects of all commercial real estate transactions.; drafts and negotiates retail leases, and lease amendments.

Manages all commercial litigation and regulatory investigations/matters including real estate disputes, commercial disputes, supply chain disputes, customer disputes, antitrust matters, collection matters, and various regulatory matters.

Reviews contracts and other legal documents; research legal issues and recommends revisions, as necessary.

Drafts, reviews, and negotiates a variety of complex agreements, and various closing documents for the company’s day-to-day operations.

Reviews, researches, interprets, and prepares both written and oral responses on a wide variety of legal issues.

Drafts, reviews, and approves policies and procedures, regulations, and other legal documents.

Represents or oversees the representation of the business and its officers in judicial and administrative proceedings, and in negotiations with other state agencies.

Work to minimize legal exposure by proactively reviewing existing practices, forms, and contracts, while considering business objectives and practicalities.

Selects and retain outside counsel, as required, to obtain legal opinions or to handle claims and litigation.

Conduct training, on regulatory matters, to internal stakeholders on various legal matters through seminars and meetings.

Minimum Qualifications

J.D. degree from ABA accredited law school - Admitted to the Florida Bar

7-10 years’ experience as in-house counsel.

Experience managing a wide range of litigation, including commercial litigation.

Proven experience in drafting and negotiating commercial contract requirements to include deliverables, terms and conditions of sale, fees, confidentiality, and termination rights.

Proficient in Microsoft Office suite including Outlook, Word, PowerPoint, Excel, and Access

Strong verbal and written communication skills including presentation and negotiation skills.

Exceptional relationship building skills across multiple leaders, layers, and cross-functional business partners.

Superior organizational skills with the ability to manage a large volume of work and meet critical timelines in a fast-paced environment.

Demonstrated ability to evaluate risk and to exercise sound legal judgment.

A strong sense of ethics, governance, and fiduciary responsibility.

Preferred Qualifications:

Bi-lingual (English Spanish)

Hands-on experience leading teams in complex domestic and international business litigation, including trial experience and counseling parties and witnesses in a variety of pre-dispute and dispute resolution contexts.

Ability to manage a large number and variety of mission-critical projects, working independently and often in ambiguous contexts.
