What you’ll do:
Oversee all legal and compliance functions at the company
Facilitate strategic partnerships supporting business expansion and growth for our professional entities
Manage and advise on corporate governance, business development, transactional matters, legal and regulatory compliance, risk management, human resources, financing activities, corporate formation and structuring, equity, and general contract management
Draft, review, negotiate and provide oversight on all company agreements, including commercial contracts relating to sales, suppliers and vendors, payers, distributors, and software and technology licensing, as well as employment, contractor, and consulting agreements
Provide in-depth legal advice on complex federal and state laws and regulations including, but not limited to Stark Law, the Antikickback Statute (and various state-law equivalents), EMTALA, Medicaid State Operations Manual, HIPAA/HiTech, PPACA, ERISA, HIPAA, Medicare and CMS Guidelines, and other applicable statutes, rules, and regulations that govern healthcare, insurance, privacy, and general corporate operations
Partner with the People Team as it pertains to compliance and employee relations
Work with the Marketing Team to develop and refine marketing compliance guidelines and review marketing materials and other public communications
Assist the Compliance department and support the company’s privacy, IT security, intellectual property and regulatory programs, including applicable policies, procedures and training, and coordination with other internal business functions
Foster an effective, high performing legal team, and coordinate outside legal services, including selection and supervision of external counsel and evaluation of the quality and costs of outside counse
Who you are:
JD from a top accredited law school, and a license in good standing with the California Bar
12+ years of relevant legal experience, including required in-house experience, preferably serving as a General Counsel in a fast growing startup company and/or for healthcare or insurance companies
Exceptional judgment and ability to act decisively and with discretion in situations requiring quick, but thorough analysis and provide effective business-oriented solutions
Proven legal experience covering multiple aspects of corporate law including business development, commercial contracting, and corporate governance, plus experience in employment, intellectual property, security and compliance, privacy, and healthcare
Experience in an advisory capacity to the Board of Directors, Risk Management Committee, Compliance and senior administrative/clinic management staff and physicians on risk management issues.
Strong organizational and time management skills in order to balance working on multiple projects in parallel.
Strategic, big picture thinker who understands, appreciates and can appropriately balance legal, business and creative objectives
Humble, collaborative with all levels of the organization, and possessing a roll up your sleeves approach and ability to prioritize and multitask
