Our client is a public company based in NYC. As General Counsel and Corporate Secretary, you will oversee and manage all legal affairs, including managing corporate governance, securities and compliance matters; commercial contracts; equity incentive plans and employment agreements; and M&A and financing/capital markets transactions. You will report to the CFO and also work closely with the CEO and the entire executive team on matters regarding the strategic growth of the company.

Responsibilities

  • SEC Reporting and Securities Filings: provide legal oversight for SEC periodic filings under ’34 Act and securities compliance matters.
  • Corporate Governance and Compliance Matters. Manage public company corporate governance matters, including meetings of the Board and its committees, and stockholders. Ensure compliance with applicable laws and regulations, including identification and implementation of internal controls and procedures to for SOX 404(b) compliance.
  • M&A and Financing Transactions: Serve as lead in-house counsel on financing and strategic transactions, including mergers and acquisitions, joint venture transactions, credit agreement amendments and potential refinancings. Draft and negotiate acquisition agreements; collaborate with operations team to ensure proper integration post-closing.

  • Litigation Management: Coordinate and manage litigation with outside counsel, including efforts to maximize event cancellation insurance recoveries for filed claims.
  • Legal Support on Employment Matters: Collaborate and provide legal support human resources on all employment matters, including best practices for new employment agreements, equity incentive awards, required training programs, separation and release agreements, and enforcement of restrictive covenants.
  • Operations Support: Provide ongoing support across all operating teams, including negotiation agreements; implementation of post-COVID health and safety protocols; SaaS license agreements for marketplace platform; and real estate leases.

Requirements

  • 15 plus years of public company corporate law experience in a relevant setting (a combination of law firm and prior in-house experience preferred)
  • Highly collaborative and very balanced
  • Comfortable navigating complicated and nuanced issues
  • Detail-oriented with excellent legal judgment, strong organizational skills and proven ability to deliver creative, thoughtful, and business-oriented results
  • Exceptional interpersonal and communication skills, including the ability to connect with, and gain the respect of, stakeholders at all levels, including the executive team
  • Experience in one of the following fields is preferred: tradeshows or events, media, marketing, marketplace software platforms
  • JD, admitted to the Bar, distinctive academic record
