DESCRIPTION

China Telecom Americas (CTA) is searching for a General Counsel responsible for the corporate legal department and to provide legal advice and strategies to the executive team. This person will have a wide variety of duties and responsibilities that cover the entire company including operating subsidiaries. This person will manage all internal and external legal resources to make sure compliance with applicable laws and regulations and direct daily legal affairs work. General Counsel reports to Vice President, China Telecom Americas, and works in our CTA headquarters in Herndon, VA or New York City office.

The General Counsel will have a wide variety of duties and responsibilities that touch every department. The primary duty is to maintain legal compliance, but that involves many things, including though not limited to the following Major Duties and Responsibilities:

General:

Advising company executives and other senior members on new laws, existing laws and legal rights that would impact functionality of the business

Overseeing the legal matters of the entire business, including acting as the business' legal representative

Maintaining knowledge of the Company's legal documents and operations

Crafting and reviewing legal strategy in response to all litigation matters

Keeping records of all Company legal documents and proceedings

Facilitating filings of licensing forms and other statutory requirements

Coordinating, communicating, and advising with outside counsel

Legally filing for copyright of intellectual property

Management of hiring, supervising, coaching, disciplining, and performance assessing of all direct reports

Reporting, advising and coordinating necessary internal approvals with Parent Company

Manage Legal Affairs Department

Contracts Negotiation and Management

Regulatory/Legal Compliance

Employment Issues

Litigation Support

Corporate Governance

M&A Support:

Intellectual Property

POSITION REQUIREMENTS

The successful candidate must have a law degree from an accredited school and a minimum of 10+ years’ law firm or corporate experience including three or more years of managing a legal team, technology contracts, preferred for telecom data services, equipment procurement and sales, IT integration and data center services; commercial transactions; as well as corporate policies and compliance. Other preferred areas of experience include wireline and wireless telecommunications regulations, international privacy and data protection rules, Foreign Corrupt Practices Act compliance, information security issues, litigation, cross border transactions, and management of foreign counsel. The candidate should be broadly conversant in IT systems and operations, preferred in telecommunications. Proficiency in Chinese, Spanish and/or Portuguese is a plus, but not mandatory.

Proven successful verbal and editing-level written communications skills including:

Drafting, negotiation and management of contracts

Drafting of memoranda, policy documents, corporate resolutions

Effectiveness with team members and external resources at all levels and cross-departmental

Excellent interpersonal and communication skills; verbal, written, face-to-face and over the phone with partners and all levels of staff and management

Ability to explain and influence executives on the Americas laws, regulations, etc. for approval decisions

Demonstrated ability to work both independently and cooperatively

Work as a member of a cross-functional and cross-cultural team in a corporate environment

Excellent organizational skills and ability to effectively balance multiple ongoing projects and tasks with competing priorities

Demonstrated capability for project management, including detailed project monitoring and customer follow-through

Ability to work in a fast-paced environment

Self-motivated and directed

Ability to determine and understand the Company’s objectives and risk tolerance and to incorporate the information in making business and legal decisions

Ability to devise legal solutions that reduce financial liability and costs

Proficiency in essential business software (including Word, Excel, PowerPoint, and Adobe)

Flexibility to work seamlessly with global sales and support teams in different time zones

Experience and availability to travel domestically and internationally for business
