TEAM & POSITION OVERVIEW:

The Miami office is where our CEO, CCO, CFO, and more broadly Accounting and Finance Teams are located. The Miami office is the hub and heart of Analytic Partners globally, leading global growth and operations across fourteen offices in nine countries. This high functioning, dynamic and entrepreneurial team is looking for a Director of Legal Counsel to join the team!

We are looking for a self-motivated individual with excellent communication skills to hold the position of Vice President, General Counsel. You will lead and manage the full life cycle process of our global contracts with our Fortune 500 clients. As the primary legal counsel for contracts, you will collaborate cross functionally with leaders across offices and functions from Client Engagement, Finance, Sales, Information Technology, Human Resources, and Product Teams.

YOU WILL OWN & COLLABORATE ON:

Prepare solicitations/requests for proposals (RFPs) to send to potential vendors.

Ensure all contracts include required terms and conditions.

Work with the Finance Team, as well as with Client Engagement Team, to oversee contract implementation and monitor billing.

Serve as the main point of contact with staff on matters related to award/contract administration and compliance.

Monitor contract compliance and ensure services are provided in accordance with contracts, including investigating and resolving compliance problems and questions.

Conduct periodic reviews to ensure that contract management activities are compliant with all applicable federal, state, and local laws, rules, and regulations.

Manage contract completion and close-out processes, including supporting any close-out issues.

Develop and maintain a central repository of all contracts, work-orders, modifications, non-monetary agreements (e.g., memorandum of understanding, non-disclosure agreements, etc.) and other contract management instruments as necessary.

Provide sound advice and counsel to the organization on a variety of legal topics.

Direct legal activities to protect the interests of the organization in contract negotiations and litigation. Provide analysis and counsel for legal, policy, and for regulatory issues.

Oversee administration of the vendor management program and all vendor due diligence.

Oversee outside counsel and coordinate their activities on behalf of the company.

Oversee ethics and conflict of interest policies.

Provide counsel to the board of directors’ relative to corporate governance matters.

Serve as single point of contact and key partner for CEO, CFO, and broader Executive Leadership Team across all departments (Client Engagement, Information Technology, Sales, Marketing, Product Engineering, Human Resources)

Provide contract support and generalist advice and counsel to the business, while coordinating with other internal functions, such as tax, litigation, intellectual property, privacy, trust & safety, government relations, etc.

Draft, revise and negotiate various commercial agreements, including SaaS agreements, marketing and production agreements, talent contracts, business growth and distribution deals, and others.

Provide legal support for new product initiatives.

Assist in supporting international/emerging markets business with local law compliance, user agreement updates and other expansion related issues.

Work with external counsel to establish, maintain and protect the global intellectual property portfolio.

Provide legal support on global data initiatives and compliance with GDPR and CCPA.

QUALIFICATIONS & EXPERIENCE YOU WILL NEED:

A Juris Doctorate (JD) and state bar membership is required.

At least ten years of experience in service/vendor procurement, contract management, and/or contract compliance.

10+ years of practice, with top law firm and in house legal department experience a strong preference.

Proficient in Project Management skills and practices, with ability to manage multiple projects.

Excellent verbal and written communication skills, including oral presentation skills.

Excellent interpersonal skills and the ability to work as part of a team.

Excellent organizational skills and attention to detail.

Excellent time management skills and the ability to meet deadlines.

Proficiency in Microsoft Office required, proficiency in a contract management software a plus.

Background in product, contracts, and marketing with exposure to data protection, intellectual property, digital media, and internet industry strongly preferred.

Strong fact-finding, drafting, negotiating, writing and research skills.

Excellent communication and analytical skills, impeccable attention to detail and a strong sense of ownership and accountability.

Ability to manage competing expectations, be nimble, prioritize effectively and deliver high-quality, error-free work in a fast-paced environment.

The leadership acumen, judgment, and credibility to inspire confidence among business clients, peers, and reports in a high growth business.

Creative and innovative thinker who can approach scenarios with a balanced and fresh perspective. Ability to provide various options/solutions and clear justification for recommendations is a must.
