Position Summary:

The General Counsel serves as the chief legal officer for the company. The General Counsel ensures that company operates within the law at all times, offer counsel on a variety of legal issues, serves as an effective guardian of the organization, and facilitates business development. Management and mitigation of the impact of external factors to limit risk exposure is critical for this position.

The General Counsel, leveraging outside counsel as necessary, drafts and negotiates commercial, employment, confidentiality, and vendor contracts, manages patents and trademarks, and drafts and preserves business records such as minutes of meetings and resolutions. This position is responsible for oversight of corporate governance and advice regarding the prudence of defending or prosecuting lawsuits. This position is also responsible for the oversight of environmental and HR departments and partners with other departments on projects including M&A and finance transactions.

This position will serve as a member of the management team and will represent ENTEK with the highest standard of professional conduct when interacting with partners, suppliers and customers.

Essential Job Functions:

Technical contract drafting and review

Legal negotiations

Maintenance and deployment of risk mitigation programs

Maintain subsidiary (domestic and foreign) entities and monitor for law changes

Direct outside counsel

Develop relationships with critical business partners

Engage in advocacy activities including participation in trade associations

Supervise HR Manager and EHS Manager

Participate in strategic planning and execution to enhance profitability, productivity and efficiency throughout the company’s operations

Provides advice, counsel, and leadership on employee matters, company and governmental rules, regulations, and procedures, and compliance activities

Direct engagement with state agencies

Assist foreign HR Managers with non-routine issues

Direct US Environmental department regarding regulatory compliance and special projects

Engage consultants as required (environmental audit, safety compliance, groundwater consultants)

Direct outside counsel

Lead compliance work regarding new legislation

Experience and Skills

Minimum Qualifications & Experience:

J.D. degree

Member of a state bar association and willing to become a member of the Oregon State Bar

At least ten years’ experience, including at least five years law firm experience

Critical knowledge

Ability to read, analyze, and interpret statutes, regulations and case law, business periodicals, professional journals, and technical procedures

Ability to perform arithmetic calculations and apply basic statistical and algebraic concepts

Overall broad legal knowledge

Corporate law background including M&A and finance preferred

In-depth understanding of how legal issues affect organizations

Critical experience

Contract drafting and negotiation

Experience with solving practical problems and dealing with a variety of concrete variables in situations where limited standardization exists and interpret various instructions in written, oral, diagram, or schedule form

Ability to consistently exercise discretion and independent judgment on matters of significance, with little or no input from other sources

Critical technical, professional and personal capabilities

Understanding and compliance regarding confidential nature of position

Effective oral and written communication skills, excellent interpersonal skills and the ability to communicate effectively with co-workers, employees, customers and suppliers

Ability to perform under strict deadlines and work extra hours and or weekends when needed with little to no advance warning

Ability to assess and resolve conflict

Flexible and able to multitask; can work within an ambiguous, fast-moving environment, while also driving toward clarity and solutions; demonstrated resourcefulness in setting priorities and guiding investment in people and systems

Ability to anticipate legal issues or risks and to "see around the corner"

Ability to develop legal strategy and objectives

Well-versed in how business operate with financial acumen

High degree of professional ethics, integrity and gravitas

Excellent judgement and analytical skills
