Enabling a future world powered by clean energy, requires resources that can provide electricity reliably around the clock and that solution is available today from geothermal energy. While batteries and other storage technologies hold the promise to fill gaps from intermittent wind and solar energy sources, geothermal energy is already providing electricity 24*7*365.

We founded Cyrq Energy (“Cyrq”) in 2011 and have been providing electricity generated by geothermal energy for the past decade to a number of forward-thinking clients across several Western U.S. states. We’re doing our part to transition the grid from relying on hydrocarbon-based energy to a clean, green energy future. And, we expect to grow significantly over the next 10 years.

At Cyrq, we’ve acquired underperforming assets and turned them around to operate effectively and efficiently and we’ve developed our own geothermal and solar assets. Today, we own, operate, and manage a fleet of 6 geothermal energy projects and 1 large solar energy project co-located at one of our sites in Nevada. We focus on renewable geothermal energy and capture the energy embedded in hot water and steam located below the earth’s surface, using that heat energy to generate electricity and returning the water to underground wells to be reheated and used again.

General Counsel Position Description

The successful candidate will build our internal legal capabilities and be responsible for managing all legal affairs for the company. This will entail providing expert, strategic legal advice to management and the Board and for ensuring legal compliance by the company in all areas of the business. This new position for our company will be responsible for creating, implementing, driving and maintaining the legal priorities and strategies for the company. The GC will also serve as our Corporate Secretary and advise the Board and management on general corporate matters including corporate entity structure and management, compliance, and corporate policies.

The new GC will be expected to manage all of the legal affairs of the business in a professional, efficient, and cost-effective manner, including the following:

Responsibilities:

· Provide prompt, practical legal advice to the CEO, Board, management, and others in the company;

· Manage all legal aspects of acquisitions, divestitures, and project development including M&A forms, joint venture agreements, corporate and project financing documents;

· Review, draft and negotiate various commercial contracts including project documents for geothermal and solar energy projects in existing and new markets; these may include but not be limited to standard offer contracts, facility contracts, real estate agreements, leases and lease options, purchases, easements, PPAs, EPCs, O&Ms and vendor contracts;

· Work autonomously to identify, prioritize, and address commercial, regulatory, and legislative hurdles across various markets;

· Ensure compliance with all relevant federal, state, and local laws and requirements including environmental requirements and interacting with outside regulatory agencies, as needed; and participating in the development of compliance policies and procedures;

· Develop and lead employee training programs in key compliance areas for the business;

· Ensure legal compliance of all project agreements as well as project agreement compliance;

· Develop form agreements such as non-disclosure, vendor, and customer agreements;

· Monitor proposed legislation and regulations and evaluate the impacts on the business;

Work closely with business development, asset management, strategy, engineering, and operations teams to help drive business development strategy, identifying risks that arise;

Advise internal teams on strategic and contractual matters;

Update and improve precedent and form agreements over time, as appropriate;

Assist the business units in implementing a document management system that ensures contractual and legal compliance;

· Manage all litigation and other disputes with third parties including negotiating settlements;

· Select and collaborate with outside counsel as appropriate and develop strategies to control outside legal costs;

· Act as company secretary and maintain all corporate minutes and other records and handle all related statutory filings for the business;

Qualifications and Experience Desired:

JD from an accredited law school and a current member of a state bar, preferably California, Nevada, Utah or other western U.S. states;

10-15 years of relevant legal experience, preferably operating as a partner in a law firm serving various energy sector clients (power, oil and gas, renewable energy, or similar) or as an in-house senior level lawyer operating in the energy sector, with 6 or more years of in-house experience preferred.

Experience with PPAs, EPCs, O&Ms, project or SPV sale and acquisition agreements, project structuring for renewable energy facilities, and the development of renewable energy facilities is highly desired;

Strong understanding of project finance concepts and structures;

Experience with warranty claims and the lifespan of dispute resolution;

Understanding of the nexus of accounting and legal compliance;

Strategic and commercially minded with the ability to function as a legal generalist and to manage external counsel “specialists” as deemed appropriate;

Excellent analytical, verbal, and written communication skills; fluency in English, Spanish skills a plus

Regulatory awareness of wholesale power markets in the US (e.g. FERC, NERC, WECC, CAL ISO, etc.)

Fluency in Microsoft Office Suite (Word, PowerPoint, Excel, etc.) and Adobe

Strong organizational skills and ability to manage multiple tasks simultaneously;

Constructive negotiation skills;

Highly skilled communicator who has proven success in translating complex concepts into persuasive advocacy to non-legal audiences.

Location / Travel

The General Counsel will be based in Salt Lake City, Utah. The position is likely to require some travel for project-related matters and occasionally to New York City for engagement with our owner/sponsor.

Compensation

Salary: based on a candidate’s experience, commensurate with comparable legal roles in the Salt Lake City market.

Bonus: eligible for an annual performance bonus.
