AV typically co-invests with established venture firms and does not lead investment rounds or take board seats.

About This Role

We’re seeking an experienced, entrepreneurial candidate to lead and represent strategic and tactical legal initiatives. As GC, this individual will work closely with the firm’s executive team on all legal matters. The GC will play a critical role in structuring complex relationships, organizational structures, and critical contracts and providing strategic legal counsel to the organization as well as guidance and leadership on day to day mission- and business-related matters. In addition, the GC will provide representation, advice, and opinions in all substantive areas of law affecting the company to help influence business decisions, including employment and real estate law.

The General Counsel works alongside the company’s Chief Compliance Officer and reports directly to the President /COO. The GC will interface regularly with Department heads, executive team members, and investing team members across the organization, and manages the firm’s outside counsel. This role can be located in AV’s offices in Boston, NYC, or New Hampshire, and will include regular meetings in the New Hampshire HQ. We currently expect that after an initial onboarding period of in-office work, that the role will likely be a flexible role (~3 days/week in AV office and ~2 days/week from home or remote office), subject to future evolution of company policies.

This is an outstanding opportunity for an individual to make a significant strategic impact on the legal infrastructure of a growing, unique venture capital firm.

Responsibilities

Oversee and managing AV’s relationships with outside legal counsel, including the company’s legal budget

Identifying and overseeing the engagement of highly specialized firms who are the best in their fields, when applicable

Preparing, negotiating, and managing a wide variety of contractual arrangements

Provide legal guidance and structure for all carried interest policies & agreements

Oversee company contracts

Oversee any potential Litigation & internal investigations

Provide guidance to compensation questions

Manage equity management agreements (Profits Interest Units)

Project manage and own communication & tracking of all legal issues

Assisting with the drafting, implementation, training, and periodic revisions of corporate policies

Provide counsel on securities-related matters

Oversee record-keeping (excluding compliance materials) and paralegal support as needed.

Support the People & Culture team and executive team on managing legal aspects of employee issues; the Facilities & Operations team on managing real estate & vendors relationships, and other major business topics.

Manage operating agreements and entity structure & organization

Manage board resolutions & record-keeping

Manage paralegal or administrative staff countersigning of docs & recordkeeping

Assisting in the legal review of investment docs and fundraising materials as needed

Requirements

Law degree (JD) and is a member of a state bar in a relevant state, along with knowledge of the U.S. legal framework

7-15 years of legal experience, either as in-house counsel at a relevant business, or as a member of an investment management group at a law firm. Professional experience representing an investment advisor preferred.

Professional experience with entrepreneurial, high-growth companies required

Experience with VC fund structuring, PPM documentation, and venture investing preferred

Knowledge of corporate/securities law, preferably with exposure to venture transactions

Corporate governance experience

Direct experience as in-house counsel is preferred

Entrepreneurial with a willingness to identify and solve potential issues

Team-oriented and demonstrated track record of commitment to shared success

Excellent interpersonal skills and ability to develop collaborative relationships at all levels in inside and outside the organization
