Impulse Dynamics (USA), Inc. is a fast-growing medical device company that has pioneered a new form of therapy for heart failure called Cardiac Contractility Modulation, or CCM TM, which is delivered by the company’s Optimizer® Smart System. CCM is a first-of-a-kind, proprietary, life-changing treatment alternative for a vast population of heart failure patients across the globe.

With global headquarters in Marlton, N.J., the company has additional offices in Frankfurt, Germany; Pearl River, N.Y.; and Willemstad, Curacao.

We are currently looking for a General Counsel for our global headquarters in Marlton.

Impulse Dynamics is seeking a highly skilled and motivated attorney, strong cultural leader, and strategic business partner to join its leadership team as General Counsel. The General Counsel will have primary responsibility for the general legal affairs of the company, with a focus on commercial matters, corporate law and public company governance, compliance, intellectual property, employment matters and contracts. The General Counsel will also lead, manage, and develop the Impulse Dynamics legal department. The mission of the General Counsel is to provide clear legal and business advice to the management and Board of Directors of Impulse Dynamics, backed by crisp legal decision making in a dynamic rapid growth environment, by defining, managing, and overcoming risks and enabling the company to achieve its corporate goals and business objectives.

Responsibilities include but are not limited to:

The General Counsel will be part of the Senior Leadership Team, providing both legal and business counsel and applying creative problem-solving skills to achieve major business objectives of the company, advising management and the Board of Directors and identifying proactive solutions to eliminate or mitigate risks and advance the company’s vision, strategic plans and annual business objectives. The General Counsel will leverage broad legal subject matter expertise coupled with practical experience spanning corporate and securities transactions and reporting; corporate governance; contracts; regulatory compliance; intellectual property; risk management; employment matters and dispute resolution. Specific responsibilities include:

Lead and manage the Legal function, including staff attorneys, compliance director and contracts professionals, attracting, developing, directing, motivating and driving performance from legal/compliance team;

Provide hands-on, solution-oriented advice on a wide variety of legal matters affecting the business, analyzing, formulating, and implementing legal strategies that preserve operational imperatives while effectively mitigating legal risks.

Develop and oversee comprehensive legal risk systems for global operations, including securities laws, FDA, and international equivalents.

Maintain a thorough understanding of the business, strategies and external commercial and regulatory marketplace.

Participate in and provide legal oversight for investor relations and public relations matters.

Manage compliance with securities, corporate, intellectual property, FDA, employment, government contracting, privacy laws, and assist with the development, implementation and evolution of corporate policies including insider trading and disclosure policies, code of ethics, document retention policy, and risk management and compliance programs.

Oversee management of the company’s IP portfolio, playing key a leadership role in developing and implementing IP strategy and managing outside patent counsel.

Provide strong leadership, people management, team building and cultural development skills.

Lead training programs on legal topics applicable to varied functions ;

Coordinate and manage all outside legal services and expenses;

Participate in cross-functional initiative development throughout the company;

Assure that employee plans, policies and practices comply with domestic and international legal requirements;

Serving as Corporate Secretary, advising the Board of Directors, its committees, and management on matters of corporate governance.

Keep abreast of legislative and regulatory developments and changes applicable or relevant to the business.

Qualifications

Education:

J.D. from a national law school and admission to at least one state bar in the United States.

Degree in Business Administration will be considered an asset

Required:

Minimum 15 years of combined law firm and in-house experience, including experience serving in a senior role at a publicly traded company;

Strong preference for experience representing medical technology clients.

A disposition to act as both a manager and individual contributor without ego in a team-oriented, fast-paced, and ever-changing environment;

Demonstrable experience with SEC and corporate governance matters

Proven track record of successfully leading, managing, developing, and retaining outstanding legal talent and teams.

Experience and understanding of international IP and corporate matters a plus.

Well-versed in how businesses operate with financial acumen;

High degree of professional ethics, integrity and gravitas;

Ability to anticipate legal issues or risks and to “see around the corner”;

Exceptional analytical, problem solving, communication and writing skills;

Experience with, and working knowledge of, the federal and state laws applicable to medical technology businesses and products;

Quick thinking with superior analytical ability and strong attention to detail;

Ability to provide pragmatic advice and counsel to senior executives and other business leaders on a wide range of legal, policy, and process issues;

An entrepreneurial spirit and willingness to roll up your sleeves;

Exceptional judgment and ability to act decisively and with discretion in situations requiring quick but thorough analysis and decision-making;

Ability to work seamlessly and effectively across functions;

Proven ability to thrive in a dynamic, fast-paced environment, turning work around very quickly as needed, evaluating risks and resolving complex issues in creative and effective ways.
