Our groundbreaking technology enables healthcare providers to test for a suspected seizure and then deliver treatments within minutes. We also received the first-ever FDA 510(k) clearance for a digital seizure detection algorithm.

The Role

Ceribell, Inc. has an exciting opportunity for a General Counsel to lead our legal strategy. In this position, you will be an essential member of our management team performing substantive high-level legal work that supports and implements the strategic plans of the organization. In addition to corporate/transactional experience, the ideal candidate is highly accountable, strategic, solution-oriented, collaborative, and a very effective communicator. Our company may consider pursuing an IPO in the next 1-2 years, so prior experience operating in a leadership position at a public company is required.

This position has been designated as hybrid, generally contributing from the office a minimum of three days per week.

What You’ll Do

Provide executive management and the Board with guidance related to the legal implications of the company’s strategies

Provides advice and counsel to Company executives and management with respect to matters of Company governance, risk management, corporate policies, communication and strategy

Serve as the Company’s corporate Secretary, establishing and leading the Board of Directors and Committees agendas and risk management and oversight functions

Prepare and review, negotiate and complete a wide range of legal documents in a timeframe that reflects the company’s priorities

Manage complex, highly specialized projects involving internal teams, business units, and external resources

Develop and administer Ceribell’s contracting strategy including developing a negotiation framework, building and maintaining a contract database, and managing contract lifecycle

Lead preparation of the company’s S-1 prior to initiating an initial public offering, and subsequently, assist in preparing 10-Ks, 10-Q, 8-Ks, proxy statements, and registration statements in partnership with Ceribell’s finance team

Collaborate with executive management on defining, refining, and communicating the company’s near- and long-term strategy

Maintain awareness of legislation and regulatory changes across a number of disciplines which may affect the organization and ensure compliance with state, federal and international requirements

Develop the company’s risk assessment strategies and ongoing risk management framework

Tend to and resolve any legal disputes or complaints; establish legal strategies involving litigation or potential litigation or disputesProvide or oversee legal training to relevant groups internally and to new hires.

Lead various projects of strategic importance to the company

Work with outside counsel to manage the company’s IP portfolio

What You'll Need

Education

J.D. from an accredited law school, college or university is required

Experience

10+ years experience after receiving a law degree including experience at a top law firm and experience as in-house counsel at a public company

Medical Device industry knowledge strongly preferred

Engagement and leadership of high level strategic projects

Knowledge, Skills And Abilities

Proven ability to plan and carry out complex and non-routine legal work at a high level with minimal direction

Demonstrated excellent legal research skills and ability to exercise sound business judgment

Excellent oral and written communication with the ability to effectively communicate with Board members and C-Suite executives
