We are seeking a Vice President, General Counsel to join our team and help us achieve our ambitious goals for our business and the planet. This role will report directly to the Chief Executive Officer.

What you get to do:

Negotiate, draft, develop, manage, and close various complex technology vendor and customer agreements including but not limited to software licenses, SaaS, reseller, distributor, alliance/partner agreements, subscriptions, and professional services

Execute legal analysis of potential M&A, technology acquisitions, joint ventures, investments, and other strategic transactions in all stages, from performing due diligence, drafting and negotiating term sheets and definitive transaction documentation, and supporting closing transactions and post-closing integration and/or working with outside counsel as needed

Oversee all day-to-day legal aspects of the company’s business including data privacy (including GDPR compliance), IP, HR, and international employment matters

Manage US and Canadian outside counsel engaged to provide legal services to the company as needed

Partner with product and engineering teams to protect core IP and innovations. Work with marketing to protect corporate brand initiatives

Guide the Company and Board of Directors in regard to governance and regulatory requirements and activity both in the US and other countries with significant operations

What you bring to Uplight:

Juris Doctor and a licensed lawyer in good standing with a state bar

Significant experience structuring and negotiating SaaS commercial transactions

At least 6+ years of related experience as in-house counsel

Experience entering new markets, public and private fundraising, and M&A

Demonstrated ability to work closely with and alongside leadership to ensure a seamless flow between the teams as it relates to risk management and compliance

Well-developed communication and interpersonal skills to represent the company credibly internally and externally

Demonstrated involvement in leading intellectual property decisions, commercial contracts, employment law and sales agreements

Good business judgment, and a demonstrated ability to think strategically and creatively about proposed resolutions to legal problems and balancing of risk

Bonus points:

Previous General Counsel experience

Understanding of the regulations within the energy industry

Salary Range: $175,000 to $250,000

In accordance with the Colorado Equal Pay for Equal Work Act, the approximate annual base compensation range is listed above. The actual offer, reflecting the total compensation package and benefits, will be determined by a number of factors including the applicant's experience, knowledge, skills, and abilities, as well as internal equity among our team.
