We’re looking for a Vice President, Deputy General Counsel – Corporate to join Snowflake’s Corporate Legal team. As the head of the Corporate Legal team, you will work closely with colleagues across multiple internal functional groups on a wide range of corporate matters, including corporate governance, securities, M&A, and management of corporate subsidiaries. This role reports to the General Counsel and is based in Dublin, CA. This is an in-person role.

RESPONSIBILITIES :

Responsible for corporate governance matters, including materials for board and committee meetings, resolutions, and minutes.

Primary role in the preparation and review of SEC filings and related documents, including current and periodic reports, proxy statements, registration statements and Section 16 filings.

Draft and review public disclosures and corporate communications, including earnings releases.

Oversee mergers and acquisitions and other strategic transactions, including by coordinating internal teams and managing due diligence activities.

Oversee global employee equity program.

Support international expansion efforts, including subsidiary formation and maintenance and inter-company structure.

Provide legal advice and support on other transactions and corporate maintenance activities of the company.

Help to develop, implement and continually improve company and team processes and procedures.

MINIMUM REQUIREMENTS :

JD from an accredited law school, membership in at least one state bar, and ability to practice in California.

12+ years of experience preferred, including at least 4 years of corporate and securities work at a major law firm (in-house experience is a plus).

Excellent management skills and business judgment with a capacity to make decisions and give advice.

Ability to explain complicated concepts in simple terms.

Strong organizational skills, flexibility, and ability to thrive in a fast-paced environment.

Attitude that no project is too big or too small.

The estimated base salary range for this role is $297,000 - $451,500.

Additionally, this role is eligible to participate in Snowflake’s bonus and equity plan.

The successful candidate’s starting salary will be determined based on permissible, non-discriminatory factors such as skills, experience, and geographic location.
