The Deputy General Counsel, Americas and Global Risk Management role will work closely with the Americas Leadership (COO, Offshore Energy Services; Area Manager Trinidad; Area Manager Brazil; and Area Manager U.S. & Suriname) and Fleet Leadership (Director of Fleet Management) to support strategy development and execution of Americas commercial opportunities and legal support of operations. Partner with the GC and CFO to develop and deliver on Global risk and insurance strategies and provide global oversight of Bristows insurance programs. This role will ensure that Bristows operations comply with all its legal, contractual, and company regulatory requirements, in particular playing a vital, proactive role in the negotiation and agreement of Bristows contracts with potential or existing oil and gas and new markets customers, and with third-party service providers that support the operations and business within the Americas, as well as assisting in key compliance matters. Certain work may be required to be performed as part of the operations of the wider Bristow group. For this role, the Americas region currently includes the U.S., Brazil, Canada, Suriname, Trinidad and Guyana.

PRINCIPAL RESPONSIBILITIES:

Customer Contracts:

  • Review of Client Tender Contract T&Cs and Master Service Agreements. Seek requisite approval for deviations from Bristows standard commercial and legal terms.
  • Negotiation and finalization T&Cs in coordination with Commercial/Business Development
  • Building and maintaining key relationships with Business Development team members, and continually ensuring that legal support helps tender responses succeed.

Other Contracts:

  • Producing initial draft, or reviewing and marking-up contracts required in support of the operational and business needs within the Americas region (e.g., waiver and releases, confidentiality agreements, supplier/service provider agreements, facility leases/subleases).
  • Negotiation and finalization of those contracts.

Risk Management:

  • Developing global strategies to ensure adequate coverage for transfer of risk to our insurance program
  • Oversee the insurance renewal process
  • Day-to-day claims management
  • Reporting renewal results and claims updates to senior management
  • Developing relationships with underwriters and our lead broker

Labor and Employment issues and disputes:

  • Advising HR team on handling and resolution of employee-related issues
  • Liaising between HR team and external legal advisers on conduct of tribunal proceedings

Disputes/Litigation:

  • Advising directors and their immediate reports on all issues and disputes that may arise in the Americas region
  • Managing litigation within the Americas region
  • Provide quarterly reports on the status of pending litigation.

Compliance/Regulatory:

  • Continually checking and ensuring that Bristow Group Code of Business Integrity is followed and practiced in all areas
  • Training colleagues on Bristow Group Code of Business Integrity

Liaison with external legal advisers:

  • Liaising with external legal advisers, when necessary, and cost-effectively
  • Establishing local country-specific requirements and influences as quickly and cost-effectively as possible
  • Develop and manage legal budget within the Americas region

PERSON SPECIFICATION:

Qualifications:

  • J.D. Degree; at least 5 years of experience practicing law. Admitted to practice law in Texas (or qualified to become admitted in Texas).

Experience:

  • Previous work as legal counsel for Top 100 US law firm. Experience advising on the Oil & Gas liability regime for offshore services preferred
  • Commercial contracts expertise essential
  • Experience with both aviation and oil and gas law is ideal but experience with at least one is essential
  • Experience in the insurance industry and/or risk management preferred
  • Additional Employment/Property experience helpful but not pre-requisite
  • Some time spent in-house helpful but not pre-requisite

Skills:

  • Must have the confidence and ability to work independently in a fast-moving environment
  • Must be willing to travel globally and work cross-culturally
  • Must be able to demonstrate strong commercial awareness
