Job Description

The General Counsel within RR is a critical and trusted leadership role as the strategic partner and subject matter expert to the Executive Leadership Team. You will help drive strategic business planning, support and direct change management throughout the organization and help drive enterprise-wide initiatives while building and maintaining key relationships across the organization.

You will support long-term strategic goals while proactively addressing pressing business issues that need immediate attention. By providing independent, informed, unbiased insight and feedback, the VP & Deputy General Counsel is a valuable resource in a wide range of activities throughout the enterprise.

Duties and Responsibilities

This position provides senior support to the Chief Legal Officer and the Executive Leadership Team, as well as well as programs and staff functions regarding a wide range of transactional and compliance matters. Major transactional responsibilities include mergers and acquisitions, contract administration and support to supply chain leadership on subcontract negotiations, supplier performance and remedies, cost or pricing data issues, commercial item determinations, financially distressed supplier protections and related issues. Within the Legal Team, responsibilities will include the following:
Formulate operating policies and objectives or changes in existing policies and procedures to ensure compliance with corporate, ethics, governmental regulations, and laws
Provide legal advice to business and management personnel
Function as liaison between management and outside legal counsel
Manage litigation in support department objectives within established budget
Develop and present training materials and courses on a variety of legal and other functional topics
Develop and demonstrate expertise in laws and regulations that affect RR
With respect to contracting, you will direct all phases of the contract administration processincluding flexible business arrangements issued under Other Transaction Authority (OTA)from inception through completion including preparing, reviewing, and approving all contractual documents to ensure protection of the company's contractual posture and intellectual property, satisfaction of contract specifications and requirements, identification of risk factors, and adherence to company policy, adherence to DOD guidelines with respect to the sale of commercial products and/or commercial services, and compliance with all applicable laws and regulations. You will also:
Oversee the development and implementation of systems, standards, and mechanisms that guide contracting lifecycle activities to consistently deliver effective solutions to customers
As the point of contact for the customer on all assigned contractual matters, you will coordinate with other functions as necessary in the preparation of responses to customer correspondence and other requests
Support reviews of RFP requirements for contract risk, recommends appropriate exceptions/fall-back positions accordingly
Assist in reviewing, recommending and negotiating terms and conditions
Provide oversight in customer negotiations with Program Management
Work with internal customers (program managers, program directors, etc. ) to ensure all communication with external customers is concise and consistent
Oversee the preparation and delivery of customer required data and reports in compliance with contractual requirements
Monitor status of day-to-day deliverables and preparation of shipping documents (DD-250s and DD-1149)
Oversee performance against the original cost allocation and contract requirements in order to anticipate necessary changes in contract funding or scope of work
Review NDAs, Teaming Agreements, and other strategic documents
Review and coordinates all requests for data to ensure protection of RR and customer interests
Ensure that all contract status documents are maintained in a current and accurate manner
Review and approves work of assigned personnel
Provide support to all Contracts Department personnel, in individual's areas of expertise
Maintain working knowledge of Federal and Commercial contract rules and regulations


You will also be appointed Assistant Corporate Secretary. In this capacity, you will own regular communications with the Board on a regular cadence, including compilation, completion, rehearsal, and distribution of board materials.

Required Skills and Abilities

Proven experience and technical expertise in the application of government contract administration principles, concepts, and practices as well as comprehensive contract management and leadership skills
Understanding of Federal Acquisition Regulations (FAR)/Defense Federal Acquisition Regulations (DFARS), Cost Accounting Standards (CAS) compliance, and commercial contract rules and regulations
U.S. Citizenship status is required as this position needs an active U.S. Security Clearance for employment
10 years experience in house legal experience with a major defense contractor, US Government procurement and/or the Aerospace industry
Experience as a US Government contracting officer or procurement official preferred, but not required
Experience advising clients regarding compliance matters
Experience with government reporting
Experience with delivery of training to clients or group
Superior judgment and work product
Self-starter and able to work semi-autonomously

Education and Experience

Graduate of an accredited Law School
Licensed to practice law in the United States
Experience with regulatory compliance reviews and investigations
Experience with legal research and drafting
Experience developing, reviewing or implementing company-wide and/or functionally specific training programs
Six Sigma training preferred, but not required
Broad business experience driving execution and adoption of key strategic programs across large teams
