Solops LLC, an equity investment of Denham Capital, is a premier developer, financier, and owner/operator of photovoltaic solar projects in the commercial and industrial sectors with projects developed in 29 states. The Solops team has collectively developed over 3GW of projects in the sector and closed on financings in excess of $2.1 billion dollars. The Company has established relationships and strategic partnerships with industry leading solar integration companies, developers, engineering firms, brokerage houses, private equity funds, hedge funds, large investment banks, and regional lending institutions. Solops Partners LLC is the parent company, overseeing several developing, construction and operating companies, as well as projected ownership of a number of project companies financed with debt and tax equity.

The GC will provide legal leadership to this PE-owned, distributed solar generation platform company, responsible for all corporate governance, negotiation and closing of MIPA acquisitions, debt and tax equity financing, portfolio and project acquisition and due diligence, human resource compliance, risk management and oversight and management of outside counsel. Solops will develop, own and operate numerous platforms of distributed solar projects funded by project finance debt and tax equity financing. The Company will benefit from a GC that has deep industry knowledge, experience and relationships, especially in this newly emerging market segment. The GC should be a creative thinker who can do more than just provide legal advice. The ideal candidate can provide guidance to the Executive Team factoring in legal risk with commercial value and have the entrepreneurial drive to share in the value creation of this distributed generation platform with the ability to act both autonomously and as part of multi-disciplinary teams, and to lead teams operating in a hybrid work environment.

ESSENTIAL FUNCTIONS:

· Knowledge of Solar Energy Industry to advise executives on how to handle legal issues.

· Act as a subject matter expert on relevant laws, regulations, and policies and ensure compliance.

· Develop implement and review overall legal strategy for all legal entities.

· Communicate with and oversee outside legal counsel; manage strategy and implementation of strategy by outside legal counsel, depending upon required services and expertise of outside legal counsel.

· Serve as internal legal resource and single point of contact, to streamline flow of legal services.

· Maintains a record of all legal documents and proceedings

· Serve as a trusted advisor for key stakeholders

· Resolve daily issues and or escalate with appropriate analysis and or recommendations

· Identify risks and implement appropriate actions to mitigate risk.

· Responsible for certain statutory filings

· Responsible for managing the company s intellectual properties.

· Other duties as assigned.

QUALIFICATIONS:

· Licensed to Practice Law, be in good standing with the corresponding state bar association

· 15 years of legal experience with at least 5- years experience as an attorney handling solar energy industry legal matters.

· Ability to prioritize and execute multiple projects under very tight deadlines

· Experience with corporate governance issues in the energy industry

· Excellent verbal and written communication

· Knowledge of statutes, rules and regulations pertaining to the national businesses in the solar energy industry

· Proficient in understanding business sensitivities and confidentiality.

The ideal candidate will be hands on, proactive, detail oriented with strong organizational skills and ability to work independently as well as prioritize a variety of tasks. They will exhibit confidence and self-motivation, and common sense. The candidates must possess strong written and verbal communication skills and be able to interact with staff at all levels including owners.
