Job Summary

This role will provide expert advice and counseling on a broad range of strategic and tactical projects within a regulated environment. This position will report to the Chief Executive Officer and will be responsible for providing legal support to the executive team.

Job Duties and Responsibilities

Drafting, reviewing and negotiating commercial contracts, primarily for the purchase and sale of goods and business units, as well as other commercial contracts as needed.

Respond promptly to legal requests from executive team and effectively communicate legal concepts to business people within the organization including human resources, operations and the administration.

Support the continuous improvement of standard agreements, policies and processes.

Overseeing the legal matters of the business, including acting as the business’ chief legal representative.

Setting internal governance policies and manage the impact of external factors.

Anticipate issues and strategically estimate risk and identify proactive solutions to eliminate or mitigate risk.

Maintaining knowledge of and the updating of the company’s corporate legal documents and operations.

Ensuring company’s compliance with all laws applicable to operations.

Crafting and reviewing legal strategy in response to any litigation and supervising outside counsel.

Keeping a record of all legal documents and proceedings for the company.

Facilitating filings of licensing forms and other statutory requirements.

Communicating with and supervising outside counsel as necessary.

Overseeing and maintaining the company’s intellectual property including preparing and overseeing the filing of company copyrights, patents and necessary renewals.

Experience and Education

Juris Doctorate Degree and licensed to practice law in the State of Nevada, or able to obtain a license to practice law in Nevada upon acceptance of employment.

4+ years of practice with an established law firm or prior experience as a General Counsel or Associate General Counsel.

Proficient legal experience in fund investments and venture capital financing.

General or specific knowledge of Intellectual Property Laws.

Leadership experience managing outside counsel.

Experience in negotiating agreements, the resolution of disputes and litigation.

Proficient understanding of business sensitivities and confidentiality.

Overall broad legal knowledge (corporate law, litigation, employment law, etc.)

High degree of professional ethics and integrity.

Ability to develop legal strategies and objectives to mitigate or eliminate risks.
