Cboe Digital’s Chief Legal Officer will oversee the legal support for substantially all legal matters for Cboe Digital’s business, including preparing and submitting regulatory filings; complying with applicable regulatory requirements (including state MSB/MTL, BitLicense, CFTC and other applicable regulatory requirements); participating in efforts to guide the evolution the regulatory environment for the trading of digital assets and derivatives; and coordinating with Cboe’s broader legal team on other legal matters applicable to the Cboe Digital business including corporate governance, contract drafting/review, acquisitions/investments, product advisory, disputes, etc.

Duties and Responsibilities:

Oversee and manage the legal support of Cboe Digital’s trading and clearing venues, with a particular focus on exchange and clearing rules and filings, industry initiatives and market structure. Cboe Digital currently consists of a spot market for digital assets, a designated contract market (DCM) registered with the CFTC, and a derivatives clearing organization (DCO) registered with the CFTC.

Oversee the preparation and filing of all required regulatory filings with various U.S. states and territories, the CFTC and potentially other U.S. federal and international regulators

Review and draft rules and rule filings to applicable regulators to explain the purpose and basis of those rules

Responsible for steering any rule changes through internal corporate and external regulators’ review & approval processes

Work collaboratively with, and provide ongoing guidance, support and legal advice to, senior management and the boards of directors of Cboe Digital’s trading and clearing venues

Provide legal support and advice with respect to regulatory compliance by Cboe Digital with respect to Cboe Digital’s spot market, DCM, DCO, and other activities; digital asset listings by Cboe Digital; and Cboe Digital business initiatives.

Provide legal support and guidance to relevant internal divisions (including Cboe Digital, derivatives, Cboe Labs, technology/operations, data and access solutions, compliance and risk) regarding rules and applicable laws and regulations relating to Cboe’s Digital’s trading and clearing venues, and related initiatives

Prepare complex comment letters and help to respond to regulatory inquiries

Coordinate with the broader Cboe legal team on other legal matters applicable to the Cboe Digital business including corporate governance, contract/drafting review, acquisitions/investments, disputes, etc.

Represent Cboe Digital in industry initiatives

Counsel Cboe Digital management by identifying issues, conducting research and drafting documents

Monitor new domestic and international regulatory developments that directly or indirectly impact Cboe Digital

Provide legal counsel to Cboe Digital in connection with regulatory exams, inspections and other matters

Support administrative and logistical aspects of Cboe Digital board meetings and actions, including preparing meeting agendas, keeping minutes, etc.

Serve as a senior member of the Cboe legal division, providing input, guidance and leadership on department goals, policies, activities and culture

Assist with various legal projects across the Legal Division and perform other duties as assigned.

Experience:

Minimum of 15 years of experience as a practicing attorney focused on securities, derivatives, or digital assets, preferably with at least 3 years of experience focused on matters relating to digital assets.

Knowledge, Skills and Abilities:

Strong leadership skills and the development of collaborative teams

Strong writing skills and the ability to express complex subject matter in an accurate, clear, and straightforward manner

Ability to effectively communicate both orally and in writing and to effectively interact with internal and external contacts

Strong attention to detail and the ability to articulate complex concepts with the level of detail that is necessary for various regulatory filings and other written communications

Experience interacting with regulators; extensive knowledge of regulatory inspection and examination processes (as conducted by regulators) and how to manage regulator relationships; and demonstrated ability to understand and assess regulatory agendas

Understanding of governance and control frameworks and ability to work with relevant functions and stakeholders to monitor effectiveness of those frameworks; and experience establishing and strengthening corporate structure, organization design, and governance to mitigate risk, liability, and ensure transparency to relevant stakeholders and regulators

Working knowledge of securities, derivatives, and digital laws and regulations

Ability to work independently and to work cooperatively in group situations; offer assistance and support to co-workers; balance team and individual responsibilities; exhibit objectivity and openness to others' views; give and welcome feedback

Proven analytical and problem-solving skills

Ability to organize and prioritize work assignments; strong time management experience and skills; and ability to complete multiple tasks simultaneously with accuracy and quality, to adjust to changes in priorities and situations, and to meet deadlines

As required by the New York City Human Rights Law, Cboe provides a reasonable range of minimum base salary for roles that may be performed in New York City. Actual compensation is influenced by a wide array of factors including but not limited to geographic location, skill set, level of experience, etc. For New York City only, the range of starting base salary for this role is $270,000-$330,000. Additional incentive compensation and benefits may be available.
