You will be implementing regional and global corporate business strategies, and advise management and business colleagues on legal and integrity issues relating to the relevant areas of responsibility to ensure full compliance with Group and Business Area policies and instructions, as well as local legal regulations within Motion Business Area.

Your responsibilities

Team and Resource Management - Actively managing the MO (Motion) NAM (North America) Legal and Integrity Team, including resource management and people development, as well as external counsel and related costs management and coordinating with RGC’s from all Business Areas (BA)

Collaboration - Supporting the Motion leadership teams in the Region, working in close cooperation with BA GC’s, Division Lead Counsels, Regional/Country Counsels, COE’s (Center of Excellence) and the Global L&I Leadership Team to provide timely legal services in support of legal, integrity and compliance objectives

Contract support - Ensuring that MO NAM L&I resources provide sufficient support and legal advice for the structuring, negotiating, reviewing, drafting, interpretation and execution of international and domestic transactions, including sales, sourcing, joint venture, consortium and other agreements

Mergers and Acquisitions - Work with ABB M&A (Mergers and Acquisitions) Team to actively participate in and provide L&I assistance relating to, M&A activity within your areas of responsibility, including contracts, due diligence support, deal analysis and integration/divestment support

Legal strategies - Anticipate and identify legal issues relative to the business and work with necessary business and legal stakeholders to proactively develop effective legal strategies and practical solutions

Litigation and Dispute Management - Work with internal stakeholders and outside resources, as needed, to analyze potential claims against the company, address disputes and develop mitigation plan, manage litigation/arbitration processes and engage in efficient resolution of claims in the company’s best interests

Governance - Ensure good corporate governance in the areas of accountability, support implementation of the ABB Code of Conduct and provide on-going integrity training and assistance in investigation and resolution of any integrity issues that may arise

External service providers - Manage and liaise with external service providers, including external legal counsel, to maximize use of external resources while managing overall legal spend

Your background

Legal Degree from accredited law school with a demonstrable superior academic record and current admission to a US state bar. No less than 12 years legal post-qualification experience or equivalent in a nationally recognized law firm or multinational company

Substantial “hands-on” experience in drafting and negotiating international commercial agreements (including, but not limited to, product sales contracts, distribution agreements, Joint Venture and consortium agreements), complex transaction agreements, and agreements involving government authorities and enforcement agencies

Direct experience involving M&A (Mergers and Acquisitions) transactions, including contracts, legal analysis, due diligence support and integration/divestment

Experience in preparing and managing litigation, arbitration and mediation, including initial claim analysis, discovery and litigation support, settlement negotiations and final resolution

Command of international commercial and corporation law, including working knowledge of trade regulations within your area of responsibility, key international conventions, public procurement and antitrust law and experience dealing with both common law and civil law issues

Demonstrable computer literacy with specific proficiency using Microsoft Word, PowerPoint, Excel and other software such as redlining tools and analytics resources such as Power BI, Salesforce, etc.
