BM Technologies (BMTX) is a fast-growing fintech company, and one of the largest digital banking platforms and Banking-as-a-Service (BaaS) provider seeking a Vice President, Legal to jump into a lean and nimble team and handle a broad range of commercial legal matters across the enterprise. Since we operate in a regulated space, you will gain breadth and depth of experience in a wide array of complex legal matters including banking operations and services, technology, consumer protection, privacy and data protection, IP, commercial contracting, and employment law.

Responsibilities
Represent the firm bank internally and externally with clients, government bodies, or other organizations, in court, at depositions, or mediations, typically serving at the most senior level as part of the senior management team.

Experience in providing legal counsel for the development and launch of consumer-facing products or services while identifying business risks and requirements resulting from evolving laws and regulations; prior work with technology companies is preferred.
An ability to demonstrate excellent judgment and comfortably making clear, rational and timely decisions despite ambiguity, complexity, and an ever-evolving regulatory environment.
Exposure to and familiarity with the legal framework governing data security in the United States, including Gramm Leach Bliley and state data breach notification laws.
Experience working on revenue-generating cloud services, software, and/or other technology contracts and overseeing deals from inception to close while managing risk and aiding the sales team in moving deals.
Ability to work autonomously on multiple deals with a sense of urgency.
Outstanding cross-functional collaboration, communication, and relationship-building skills.
Adept at quickly building rapport and becoming a trusted adviser with numerous internal stakeholders.
Negotiate and draft software and services related agreements with clients and prospects; subcontracts and other related documents with services partners; review and advise on bids in competitive procurements.
Liaise with and supervise external counsel for outsourced matters.
Due diligence for acquisitions; management and supervision of corporate transactions and providing related advice when applicable.
Oversee the development of corporate legal activities, including the creation of policies, procedures and programs, as well as those applicable to public companies.
Supervise and assist legal specialist(s) with the handling of civil and criminal subpoenas, writs of execution, garnishments, and levies.
Qualifications
Law Degree from an accredited law school and admitted to practice law in at least one state.
Minimum 10 years’ experience in the practice of law, preferably 3 years at a Fintech oriented financial services company.
Five to seven years of experience drafting, negotiating, and advising on a variety of commercial deals such as cloud software sales, reseller agreements, and distribution partnerships.
Experience negotiating commercial contracts for or with financial institution partners is a plus.
Experience with privacy, data security, and intellectual property law
Experience managing the legal protection of an intellectual property portfolio.
Experience with data licensing issues is a plus.
Excellent writing, oral communication, and organizational skills.
Eager to learn about new and emerging technologies.
Comfortable navigating complicated and nuanced legal issues.
Substantive knowledge and experience in commercial litigation management and strategy, including the management and oversight of outside counsel.
Experience in handling a variety of employment law and human resources matters.
Solid organizational skills and the ability to manage multiple and competing priorities while achieving superior results.
The ability to communicate clearly, both verbally and in writing, at all levels within the organization, including being able to make and communicate difficult decisions to appropriate persons in the organization.
Commitment to exemplifying the highest integrity and professional business standards, while exercising the utmost discretion in managing sensitive information.
Demonstrated willingness to accept challenges and acquire new competencies.
Exemplary leadership and strong interpersonal skills with the ability to work independently and as part of a team.
