THE ROLE

As the General Counsel,you will report to, and be a key strategic partner to the Chief Executive Officer, and the executive team. The General Counsel is a multidimensional role that not only manages legal tact, but also aligns legal and business strategies, suggests innovative business solutions, mitigates risk, and ensures legal efficiency. You will act as a strategic business partner to the Founder and CEO.

You must possess strong initiative, as well as excellent management and leadership skills and strong business acumen. We are looking for a vibrant, driven and well decorated legal and strategic business leader whose full gamut experience in legal, regulatory, and cross functional global business has made you a leader in your field. You have a mix of experience ranging from overseeing day to day legal in a hyper growth company, as well as driving the strategic, financial, human resources, and investment decisions for optimal growth.

Day to day, you will guide and steer your team, while optimizing our corporate structure in multiple jurisdictions including the US, Canada, Europe, and the Caribbean. You will be a key member of the leadership team and will also participate in securing high profile executives and advisors, customers, and financial backers from banks, to underwriters, to strategic investment partners. You will lead our aggressive outbound litigation practice protecting assets, brand, and competitive advantage in all elementsof the businesses. You will also lead all forms of liability mitigation, including foundational work protecting against inbound federal, state orcustomer-orientedlitigation. Working with and through external counsel, you will be the key point of contact for all regulatory agencies.Through your previous experience you have learned how to grow a business rapidly and safely in a highly innovative and regulated space while creating and maintaining sustainable competitive advantage. You are versed in leading complex advocacy issues including federal and state lobbying. You will have a record of accomplishment successfully fighting for controversial innovation.

In summary: this position will lay the groundwork for our category - advocating for federal and state legislation, navigating relationships with regulators, securing key partnerships with key customers, distributors, and underwriters, ultimately steering how we grow in a way that is safe, but innovative, while maximizingshort-, medium- and long-termvalue. This role will report to our visionary and very driven CEO in a team oriented, fast paced, scrappy, and high growth/high profit business.

CORE RESPONSIBILITIES:

  • Develop and lead corporate legal strategies to promote and protect the company's interests while owning all legal items for theportfolio of companies.
  • Develop and lead internal audit and corporate compliance programs. Specifically, own global tax strategy in Canada, Barbados, US, Europe for efficiency, compliance, and risk management.
  • In collaboration with finance, develop capital acquisition and exit strategy and advocate with all stakeholders to successfully advance high value exit. Specifically, US CPG (Consumer Packaged Goods) (500m-1b), Canadian IPO (10-50M), 5-10M series A technology company, and various asset based real estate transactions.
  • Participating in the formulation of general management policy as a member of the executive management team while driving Founders vision to execution.
  • Collaborate on strategic business decisions; develop and recommend independent and balanced business options as a contributing member of the executive team.
  • Organize all legal needs of the company in a detailed, dynamic, and highly responsivemodel.
  • Manage filings and pending regulatory/compliance FDA/DOJ claims, managing battle plans, PR, and other aspects oflitigation.
  • Full ownership over of all legal items for theportfolio.
  • Recruit, expand and manage a lean internal legal team, utilizing and leading outside counsel asrequired.
  • Review/modify/fix all agreements across businesses for maximum value and minimal risk, including ensuring all relationships across all businesses have properly executedagreements.
  • Create a Portfolio-wide legal database where all documents are tracked, organized, and updated to reflect ongoing efforts andstrategy.
  • Create internal regulatory/compliance guidelines for future new productdevelopment.
  • Organize all legal items and lead litigation strategy mapped forexecution.
  • Provide oversight and leadership of the federal and state lobby team and the creation and operation of variousthird-partyorganizations to advocate for our interests.
  • In collaboration withsales, engagewith key retail customers and distribution partners to secure their confidence, minimize their risk, and acquire their business.

WHAT YOULL BRING

  • JD degree with strong academic credentials, MBA strongly preferred.
  • Active license to practice law in at least one country /state.
  • A minimum of 10-15+ years of US legal experience at least 5 of which is in a head of legal function.
  • Proven success record in working with highly driven entrepreneurial founders andCEOs to create exponential, profitable growth.
  • Extensive experiences with various regulatory agencies in fields such as supplements, pharmaceuticals, cannabis and/oralcohol.
  • Previous experience in managing/leading state and federal lobbying to successfully stop and advance strategic legislation including mobilization of public affairs initiatives asrequired.
  • Diverse and extensive inbound and outbound litigation experience including state, federal, trademark and consumerliability.
  • Ability to work autonomously, taking accountability without a huge team behindthem.
  • Highly detailed and organized communication style, including the ability to operate in highly charged fast movingenvironments.
  • You are technologically savvy, quick with toolse.g.,O365, G-suite, and great at building visual reports and decision trees.
  • Willingness and ability to work the hours it takes to be successful in a fast paced, rapid change, hypergrowth environment.
  • Minimum 5 years working with and reporting directly to founders/entrepreneurs with a list of highly favorable references from entrepreneurial leaders.

Preference will be shown to those candidates with:

  • JD degree and MBA degree is strongly preferred.
  • FDA Dietary Regulatory/Compliance experience highly preferred
  • A powerful network for US focused regulatory and political success
  • A background in dealing with scientific legal issues and experience with its use to defend and attack in the process of opening and securing value in a category.

COMPENSATION

We offer a competitive base salary with an additional lucrative profit share program. A generous options package will also be provided in this role so that you participate in short-, medium- and long-term liquidity events in our organization. Full medical benefits will be provided along with paid vacation and an additional week off between Christmas and New Years.
