Reporting to the President/CEO of Hutchinson Regional Healthcare System (HRHS), the General Counsel will serve as the primary advisor on all legal matters, guiding policy to reflect legislative changes and statutory compliance. HRHS will rely on the General Counsels expertise to help protect the interests of our patients, leadership, and team members in furtherance of our mission and goals. The General Counsel will conduct the responsibilities of the position within the limits of the law and with the highest standards of ethics and integrity.

1. Legal Advice and Counsel:
- Provide legal guidance and advice to executives and management on a wide range of legal issues
affecting the organization.
- Analyze legal implications of corporate strategies and decisions.
2. Contract Review and Drafting:
- Review, draft, and negotiate contracts with clients, vendors, partners, and other stakeholders.
- Ensure that contracts comply with applicable laws and regulations.
3. Litigation Management:
- Manage and oversee any legal disputes, lawsuits, or claims involving the organization.
- Work with external legal counsel when necessary.
4. Risk Management:
- Identify and assess legal risks associated with business activities.
- Devise strategies to mitigate legal risks and ensure the organization's legal compliance.
5. Corporate Governance:
- Advise on corporate governance matters and ensure compliance with corporate policies and procedures.
- Support the board of directors in legal matters.
6. Intellectual Property:
- Manage and protect the organization's intellectual property, including trademarks, patents, and copyrights.
7. Employment Law:
- Provide guidance on employment law matters, including contracts, policies, and disputes.
- Oversee labor and employment-related legal issues.

8. Mergers and Acquisitions:
- Participate in due diligence processes during mergers and acquisitions.
- Provide legal advice on transactional matters.
9. Government Relations:
- Represent the organization in interactions with regulatory bodies, government agencies, and legislative matters.
10. Training and Education:
- Conduct legal training sessions for team members to ensure awareness of relevant laws and regulations.
11. Ethics and Corporate Social Responsibility:
- Develop and implement ethical standards and corporate social responsibility initiatives.
12. Budget Management:
- Manage the legal department budget, including external legal expenses.
13. Communication:
- Effectively communicate legal strategies and issues to executives, management, and other stakeholders.

General Responsibilities:

  • Ensure Hutchinson Regional Healthcare System operates within the law at all times
  • Assess company decisions with an eye toward proactive solutions that will eliminate or mitigate risk
  • Manage Hutchinson Regional Healthcare Systems intellectual properties and statutory filings
  • Performs other duties as assigned

Minimum Qualifications:

  • Education: Juris Doctorate from an accredited law school; Active Kansas License in good standing with the Kansas State Bar Association
  • Experience: Five years as a General Counsel or similar role with broad legal experience (i.e., compliance, contracting, employment, mergers and acquisitions) in a health system with multiple entities representing various aspects of healthcare delivery

  • Demonstrable professionalism, ethics, and integrity
  • Keen understanding of the financial management of a corporate department
  • Ability to develop legal strategy and objectives
  • Excellent judgement and analytical skills
  • Interpersonal and communication skills that promote positive, collegial, and collaborative teamwork
  • Litigation experience
  • Legal experience involving business, real property, fiduciary/trust and tax laws
  • Experience working with tax-exempt organizations
