Title: General Counsel

The General Counsel is the head of the East Point legal department and is responsible for all legal affairs of the company, including, but not limited to, operational, governance, and compliance matters. This role involves providing legal counsel to the Board of Directors, CEO, and the full East Point team. In managing the legal department, the General Counsel will have direct reports and will report to the CEO.

Roles & Responsibilities:

  • Manage East Points legal risk and cost across all aspects of our business - development, mergers and acquisitions (M&A), engineering, procurement and construction (EPC), asset management, human resources, and compliance - while executing our business strategy
  • Develop, implement, and manage East Points compliance program to adhere to the Equinor Code of Conduct and Integrity Due Diligence guidelines
  • Draft, review, negotiate, and close contracts, including:
    • Real estate: lease and purchase options and closings, title insurance policies, etc.
    • EPC: turnkey EPC, equipment procurement, engineering services, etc.
    • Wide array of supporting services agreements to our business: engineering, general consulting, frame agreements, etc.
  • Provide strategic insight and guidance to executive team
  • Grow and manage East Points legal department
  • Implement and manage Equinors standard contract language into our contracts in high-risk areas of: human rights, business integrity, etc.
  • Serve as corporate secretary to East Points Board of Directors
  • Engage and manage outside counsel for additional legal support with a cost effective and risk mitigated approach (e.g., M&A, real estate, permitting)

Skills:

  • Proficiency with Microsoft software suite (Word, Excel, PowerPoint, OneNote, Teams, etc.)
  • Ability to communicate across a broad spectrum of technical understanding - written, verbal and non-verbal

Education & Experience:

  • J.D. from an American Bar Association accredited law school
  • Minimum of seven (7) years of experience directly related to the duties and responsibilities specified.
  • Member of the Virginia State Bar, or member in good standing of the State Bar of another state.
  • Strong track record of managing attorneys and legal staff
  • Prior General Counsel role experience preferred
  • Prior energy industry experience preferred

Travel & Time Commitment:

  • This is a full-time, exempt salaried position. Standard office hours are from 8:30 AM 5:30 PM EST. The demands of the role may require work outside of these times.
