Palmetto is seeking a dynamic and effective executive to join our team as General Counsel. Located in our Charleston, SC corporate headquarters, this individual will oversee all corporate legal matters and will partner with leaders across the global business to provide and oversee legal and compliance support needed as the business drives innovation and solution delivery. The qualified candidate will have exceptional written and verbal communication skills and the ability to distill complex legal concepts into cohesive, intelligible presentations. Directly relevant legal experience in a private and public technology firm. This role will report to the CFO.

Essential Job Functions

Partner with executive management across all functional areas of business and business units

Drive legal aspects of commercial and contract matters, including software licensing agreements

Attract, develop, direct, motivate and drive performance of internal contracts team

Lead negotiations of merger and acquisition agreements and associated legal due diligence

Oversee management of intellectual property development, protection and registration

Provide recommendations and leadership on global compliance efforts across the business

Advise the business and executive leadership on relevant legal and legislative updates relevant to company

Anticipate and identify legal risks and recommend practical mitigation strategies

Participate in security law compliance, including periodic and current reports and proxy requirements

Oversee management and negotiation of property and facility leases

Coordinate and supervise the use of outside legal counsel

Must have a sense of humor, otherwise you won't make it at Palmetto

Required Skills

Proven ability to collaborate with business leaders and identify simple solutions to complex legal issues

Excellent oral and written communication skills

Strong leadership, excellent judgment and analytical skill

Ability to drive strategic initiatives in a fast paced environment

Unquestionable professional ethics, integrity and gravitas

Overall broad legal acumen with particular experience in software and/or fintech

Ability to hire and manage other members with legal expertise, specifically compliance

Ability to manage patent process for OEM and Software

Education & Experience

20 years experience

Private sector experience required

Experience at a reputable law firm

Juris Doctor or equivalent degree

Directly relevant work experience

Experience working in a both private and public companies in a technology environment preferred

Admitted to the bar (and in good standing) in at least one state

Note: this is a high intensity role and will likely require long week and weekend work. A strong work ethic is required.
