Location: Rochester, MI
The General Counsel will be responsible for building and empowering our Legal team, setting legal strategy, overseeing key deals and relationships and serving as a business partner to the rest of the company.
This individual must be willing to roll up his/her sleeves and take on significant responsibility helping with several aspects of the business and develop strategies for handling legal issues in creative, business-centric ways, and you will build processes that address risk and allow the business flexibility and freedom to move quickly.
In this role, he/she will be advising on all legal matters such as product, regulatory, commercial, international matters, privacy, corporate, IP, employment, policy and compliance. This position has a focus on software licensing and sales matters for SaaS services, managed services, on-premise software, and professional services areas that are critical to OneStream's business.
RESPONSIBILITIES
Advise executive, senior leadership and board on legal strategy and risk issues associated with the company's business operations and regulatory compliance requirements.
Advise on company employment matters, policies, and personnel issues.
Negotiate and drive strategic transactions and a significant volume of sales agreements, as well as counsel sales and sales management and other relevant groups on a variety of licensing, intellectual property, commercial, data security and privacy law topics.
Draft, review, and negotiate US and international SaaS and software license agreements and amendments.
Draft, review, and negotiate other commercial or corporate agreements such as NDAs and vendor agreements.
Improve efficiency and compliance by changing processes and training the sales team.
Work with Compliance Team on Privacy Shield and GDPR.
Work with Compliance Team on SOC 2, SOC 1, HIPPA, and FedRamp compliance documents.
Maintain and manage company corporate governance and corporate secretary matters relating to the company Board of Directors, including Sarbanes Oxley compliance. Responsible for drafting agendas, minutes and resolutions and reviewing board mailing materials.
Help with projects to improve processes that pertain to review, approvals and negotiation of legal terms for all business.
Manage resources within budget and direct external counsel.
DESIRED SKILLS AND EXPERIENCE
Knowledge and Experience
10+ years of legal experience in areas such as Software Licensing, GDPR Compliance, employment and labor, real estate, etc. General Counsel experience is preferred.
Proven experience building and leading teams in high-growth environments
Experience in Software and Technology Companies.
International Experience.
Experience with corporate governance issues and corporate secretarial duties.
High degree of independence, initiative, and decisiveness.
Excellent legal writing is a must as well as solid organizational skills.
Great judgment.
Excellent interpersonal and communication skills.
Ability to deliver results, both as an individual contributor and as a member of the global legal team.
Capacity to lead projects and coordinate external advisors.
Preferred Qualifications
A mix of corporate law firm and in-house experience is a plus
Demonstrated ability to quickly digest complex information and make good, informed decisions
Must be self-motivated and high energy, as well as able to collaborate with different teams
Strong analytical, attention-to-detail, and problem-solving skills
Strong written and verbal communication skills
Common sense, great judgment, and a good sense of humor
Comfortable in a fast-paced and evolving environment
Experience with data privacy laws, a plus
