Our client, a global specialty pharmaceutical company involved in the marketing and distribution of branded pharmaceutical products for the treatment of chronic and serious medical issues, is looking to hire a General Counsel.

Responsibilities and Duties:

This position reports to the Chief Executive Officer and is responsible for leading the company’s strategic and tactical legal initiatives, including m&a transactions. The general counsel provides senior management with effective advice on company strategies and their implementation, manages the legal function, and oversees the work of outside counsel. You will be the “go to” person for all legal issues and matters. You will be developing and maintaining legal policies in all areas.

• Provide legal advice and risk assessments across a wide range of business and legal matters to the Management Team, Board of Directors and the Company’s Business Teams

• Lead the negotiation of key agreements and relationships for the Company

• Assume the role of Corporate Secretary and establish and maintain all aspects of corporate governance

• Provide legal oversight over all labor and employment matters, including in connection with equity incentive plans and benefit plans

• Collaborate with the Company’s regulatory team on developing a regulatory affairs strategy to address key legislative issues affecting the Company

• Maintain, manage and support the development of the Company’s intellectual property portfolio

• Provide counsel and manage any suits, mediations, arbitrations and hearings

• Build, manage, develop and retain an exceptional team optimized to fulfill and support the company’s business and corporate needs and objectives.

• Manage Legal Team budget to ensure cost effective services from outside counsel and other legal vendors.

Experience Required:

• Seasoned corporate counsel (10 years minimum).

• Law firm experience in corporate transactional matters, particularly with respect to m&a, intellectual property and pharmaceutical matters.

• Industry experience (pharma/biotech) strongly preferred.

• In-house experience preferred. GC experience is strongly preferred.

• Extensive background in drafting and negotiating complex commercial transactions.

• Experience implementing and completing large projects.

• Experience managing an in-house legal team.

• Superior drafting skills and attention to detail.

• Ability to function effectively without additional in-house legal resources.

• Adaptability in a fast-paced environment and ability to multi-task on a wide range of matters that arise on a day-to-day basis, ability to quickly re-prioritize.

• Business-minded attorney able to serve as a partner to senior management and the Board

• Comfortable making decisions and exercising independent judgment, while at the same time working constructively in a team environment

• Excellent verbal and written communication skills
