The role of General Counsel rolls up their sleeves to provide business and legal solutions in support of this mission. The role will work in diverse substantive areas of law and business, including transactional, regulatory and IP. The General Counsel is expected to be business-oriented and provide business solutions and strategies within the context of giving legal and compliance guidance and counsel.

THIS ROLE WILL BE RESPONSIBLE FOR:

Serving as a proactive advisor to the CEO and leadership team on legal, compliance and governance matters affecting Ecovative and its affiliates

Drafting, reviewing and negotiating corporate and transactional agreements, including licensing, development and strategic partnership agreements, leases, goods and services agreements and employment agreements

Supporting regulatory work

Evaluating pre-litigation issues to minimize risk, oversee litigation and advise management on litigation strategy

Minimizing the need for outside counsel, and managing outside counsel when needed

Overseeing intellectual property matters with the company’s patent agent, including patent prosecution, freedom-to-operate, trademark matters, trade secret protection, copyright, information technology, confidentiality and document management

Acting as the compliance function, notifying management of compliance risks

Serving as a key member of the executive team

Instilling confidence and foster an atmosphere of trust and respect

MINIMUM QUALIFICATIONS AND COMPETENCIES:

12 years of legal experience in-house and in a law firm

Proficiency in small business operations, legal advice, IP and cost control

Superior analytical, drafting, problem-solving, risk mitigation and negotiation skills

Transactional experience

Ability to work effectively with governmental and regulatory agencies

Strong interpersonal skills and emotional intelligence

Exceptional oral and written communications

Commitment to diversity and inclusion

Excellent organizational skills with a high level of attention to detail and accuracy

Excellent judgment and leadership skills

Self-starter, able to work independently, reach out for assistance when needed, manage various tasks and balance competing priorities

Ability to collaborate effectively with a diverse range of internal and external stakeholders

Highest ethical standards and professional integrity

Serious work ethic

PREFERRED QUALIFICATIONS AND COMPETENCIES:

Employment law experience

Governance and regulatory experience

Master’s in Business Administration, business experience and/or experience working with entrepreneurial businesses

Litigation experience
