Defense contractor involved with product development and manufacturing of various systems for military aerospace and vehicles in the Los Angeles International Airport area is searching for an experienced General Counsel. With a 50+ year foundation, The Marvin Group supports all branches of the Department of Defense and allies around the globe on an array of programs and platforms. We support many military prime contractors including Lockheed Martin, Northrop Grumman and Raytheon.

SCOPE

The Marvin Group is seeking a proactive and experienced General Counsel to manage all legal matters and risks. The General Counsel will primarily be responsible to examine and draft business agreements and contracts with customers, vendors and other outside parties, manage copyrights, trademarks, patents and trade secrets, insurance matters and employee relations. The General Counsel will ensure legal compliance regarding Government Contracting, support mergers and acquisitions (M&A) activity, employee safety and data protection programs, corporate governance and establish the prudence of defending and prosecuting lawsuits. To ensure success the General Counsel needs to have sound knowledge and understanding of applicable laws and regulations, including but not limited to the Federal Acquisition Regulation and the Defense Federal Acquisition Regulation Supplement, and the ability to make prudent legal decisions. Top candidates will be team players with outstanding advocacy and people skills. Experience in the Aerospace and Defense industry is desired.

This is a senior level position reporting to the Chief Financial Officer and collaborating with Executive Management at each of the business units of The Marvin Group. The position requires an energetic, pro-active individual who will roll up their sleeves to draft agreements, licenses, policies and procedures and correspond directly with government agencies, customers and other organizations. A successful candidate will play a critical role in leading, developing and working through business initiatives and strategies for licensing and compliance. The candidate’s ability to work effectively with management, win their confidence and cause them to seek out their advice is important to success in this position.

RESPONSIBILITIES

• Advising executive, senior management and board on various matters such as legal rights, and new and existing laws.

• Managing organization's legal matters.

• Full spectrum of government and commercial contracting from proposal to claims as well as being able to provide advice on data rights and program related disputes at prime and subcontract levels.

• Review and provide legal advice on various financing credit and loan agreements.

• Examining and creating draft agreements, such as employment and vendor agreements.

• Review and provide advice on Government Contracts and provide legal interpretations of the FAR and DFARS.

• Maintaining knowledge of organization’s operations and legal documents.

• Conducting legal research and reviewing company's litigation strategy pertaining to legal actions.

• Promulgating and creating directives of corporate acts and decisions.

• Preserving all corporate records.

• Handling statutory filings, such as licensing forms.

• Liaising with outside counsel regarding their assignments.

SKILLS/REQUIREMENTS

• Juris Doctorate degree from accredited law school.

• 5+ years practice with an established law firm or relevant in-house counsel experience.

• Proficient legal experience in a wide range of contracts, human resources and M&A.

• Experience with corporate governance issues and corporate secretarial duties.

• Excellent verbal and written communication skills.

• Knowledge of statutes, rules and regulations pertaining to businesses.

• Proficient understanding of business sensitivities and confidentiality.

• Must be able to speak/read/write English.

• Must be able to lift up to 35 lbs.
