Sunroad Enterprises is a diversified and experienced holding company. Founded in 1977 in San Diego, Sunroad consists of two distinct divisions: Real Estate and Automotive. The Real Estate division develops and owns several multi-family facilities in CA, AZ, NV, and WA as well as Sunroad Marina, Maderas Golf Course, offices, and restaurants in San Diego. The automotive division owns and operates 9 dealerships with multiple brands in San Diego. Additionally, Sunroad owns and operates dealerships in Mexico.

Sunroad Enterprises is seeking candidates for General Counsel. The role will be in supporting both Real Estate and Automotive divisions. Transactional matters include purchases, sales, developments, and financings. Operational matters include contracts for managing facilities, dispute resolution, service agreements, and managing.

Responsibilities

Leading all legal affairs working closely with the real estate, finance, and automotive teams

Leading legal components of transactional work in real estate property purchase, escrow agreements, due diligence procedures, and documentation in land acquisitions

Negotiating, drafting, and/or reviewing agreements for construction and acquisition financing and documentation; permanent financing and documentation; procurement of zoning and land use entitlements and permits; development agreements with governmental agencies

Reviewing, negotiating, and drafting Company agreements to support the automotive division including buy/sell of property, lease agreements, vendor agreements, partnership agreements, consulting agreements, and other company agreements

Providing communication and advice pertaining to the company’s requirements and obligations under its agreements

Maintaining and tracking company agreements ensuring that the Company maintains current contracts

Serving as a first point of contact for any litigation for the entire holding company, referring to and overseeing external counsel as needed

Serving as a first point of contact for many employee legal issues for the entire holding company, referring to and overseeing external counsel as needed

Overseeing the reporting of legal activity metrics

Qualifications

Bachelor's Degree and a Juris Doctor Degree

10+ years at law firm or in-house legal department in the area of real estate

A high-level understanding of employment law and business law

Must be a member of the California State Bar in good standing and have strong academic credentials and work history

Strong communication skills for providing information to clients, outside counsel, and management are required

Organization, research, interpersonal, analytic and computer skills are required

Strong business writing ability, attention to detail, organizational and analytical skills

Ability to deal with confidential information in a discrete manner, not compromising company or personal confidence
