We are looking for an analytical General Counsel to work in our Evansville Indiana office to optimize our organizational efficiency regarding legal matters. The General Counsel will examine, draft and negotiate client and vendor contracts, review IT and data security, employment, and real estate lease agreements, manage copyrights and trademarks, and preserve business records such as minutes of meetings and resolutions. The General Counsel will be part of the team responsible for the management of client contracts, insurance matters, employee relations and immigration. This position has direct responsibility for advising on data privacy, employee safety and contractual obligations.

Sound knowledge and understanding of applicable laws and regulations, and the ability to make prudent legal decisions will lead the candidate of this position to success. Top candidates will be team players with outstanding advocacy, people, and leadership skills.

General Counsel Responsibilities:

Advise executive, senior management and the Board of Directors on various matters such as legal rights, and new and existing laws.

Manage organization's legal matters.

Examine and create draft agreements, such as vendor, client, and employment agreements.

Maintain knowledge of organization’s operations and legal documents.

Conducting legal research and reviewing company's litigation strategy pertaining to legal actions, aiding the company to find the correct resources for legal assistance from outside legal counsel when necessary. Liaising with outside counsel regarding their assignments.

Creating and communicating directives of corporate acts and decisions.

Preserve corporate records.

Handle statutory filings, such as licensing forms.

Lead the compliance program for MEI and ensure client compliance programs are interpreted and adhered to. Spearhead improvements. Management of the employees working with the compliance and data privacy teams.

Collaborate with executive team on managing organization's intellectual property.

General Counsel Requirements:

Juris Doctor degree from an accredited law school.

4+ years practice with an established law firm or corporation.

Licensed to practice law in Illinois and Indiana.

Data privacy certification.

Proficient legal experience in contract law, negotiation and employment law.

Experience with corporate governance issues and corporate secretarial duties.

Excellent verbal and written communication skills.

Knowledge of statutes, rules and regulations pertaining to businesses.

Proficient understanding of business sensitivities and confidentiality.

Knowledge of life science laws and regulations a plus.
