Job Summary

DispatchHealth is recruiting a General Counsel to provide professional legal counsel and strategic direction to the Board of Directors, executive team and management. This individual provides legal guidance related to a wide range of business needs, contracts and insurance and will be responsible for the company’s compliance and ethics initiatives in accordance with federal and state regulations.

Responsibilities

Negotiate and prepare legal documents, including providing legal opinions for executive team, Board of Directors, investors and management

Advise management with respect to legal issues related to the development and implementation of its business strategy, governance and compliance policies, employment law matters, intellectual property issues, corporate structure, organizing documents, healthcare regulatory compliance and other issues as needed

Ensure compliance with corporate and securities laws

Work on strategic projects including mergers, acquisitions and other strategic transactions

Develop policies and procedures for the organization, including topics such as intellectual property, regulatory compliance, employment law matters, etc.

Interpret laws and regulations

Conduct legal, enforcement, investigation and complaint-resolution activities for the company

Plan and direct all aspects of the company’s legal affairs

Responsible for foreseeing and protecting the company against legal risks

Oversee company activities to ensure federal and state regulatory compliance

Develop and maintain template documents and assist staff in preparing legal documents

Lead the defense against any legal claims made against the company, including managing litigation strategies

Draft and review key corporate documents

Compliance Officer responsibilities – overall responsibility for DispatchHealth’s compliance and ethics program, as described in the Federal Sentencing Guidelines for compliance programs

Provide work direction to the Legal Department

Supervise and manage outside legal counsel

Other duties as assigned

Qualifications/Education

Law degree; admitted into Colorado Bar

7+ years of related experience

Expertise in healthcare compliance and regulations

Legal experience with publicly-held organizations a plus

Knowledgeable in a wide variety of legal fields

Excellent contract drafting, negotiation and issue identification

Excellent judgment and initiative in selecting the most effective solutions

Excellent verbal and written communication skills

Must be extremely detail-oriented with strong organizational skills and the ability to multi-task

Must be resourceful, with excellent follow-through skills

Ability to maneuver through complex political situations

Expertise in negotiations and stakeholder relationship-building

Exhibits superior integrity and serves as a trusted advisor

Innovative – display original thinking and creativity

Ability to anticipate and solve problems and resolve issues

Comfortable with change and ambiguity

Ability to work under pressure, prioritize, manage workload, manage simultaneous tasks and meet deadlines within a changing fast paced environment
