Position Description: Clever Leaves is searching for a world class General Counsel with pharmaceutical or regulated industry, or asset management or private equity, public company experience, . The successful candidate’s responsibilities will cover a wide array of strategic and tactical tasks and the role is expected to evolve and grow as the firm expands its global footprint and scales the business. The General Counsel will be an instrumental part of the Executive Team and support the CEO, Board Members and other colleagues on the Executive Team as Clever Leaves expects to execute a go-public strategy with a NASDAQ or alternative global stock exchange listing in the near-term.

Basic Function: The General Counsel will be responsible for leading the global legal team and managing all legal and compliance issues of the company, reporting to the CEO. The General Counsel will act as the top attorney for the company and will tackle a broad range of issues, so must be comfortable operating with unknowns and in unfamiliar territory. Expertise in corporate law, securities law and corporate governance for a global public company is critical.

Desired Qualifications: The successful candidate must have strong foundational knowledge of corporate governance, securities and general corporate law. It is also preferred that the candidate have experience in some or all of the following areas: commercial contract law, compliance and regulatory matters, intellectual property law, M&A and building a legal operation. We seek a seasoned lawyer with the breadth of legal and business knowledge necessary to function effectively as a leader in a highly regulated, complex, global cannabis firm. The ideal candidate will be comfortable operating at a senior executive level yet have the flexibility and willingness to jump from oversight of complex legal issues to “roll up the sleeves” projects. There is a significant component of nuts and bolts lawyering to this role, in addition to strategic oversight. We seek a hands-on leader who will appreciate a collegial, startup environment where employees treat each other with dignity and respect. We value the ability to motivate colleagues and inspire confidence among the Board and other senior executives. Candidates must be comfortable managing and controlling costs of external counsel on a variety of complex legal issues in the US, Canada, Latin America and Europe. In addition, the ideal candidate will have interest in the global cannabis industry and have sufficient knowledge and insight to provide leadership on issues of corporate citizenship in a new and rapidly evolving global industry.

Education & Experience:

A minimum of 10 years progressive experience with the most sophisticated and complex corporate legal matters.

Experience as a senior corporate attorney at a public company or a partner in a large, full-service law firm.

Experience working with and advising Boards of Directors.

Comfort dealing with all levels of team including senior management, especially at the CEO, CFO and other C Suite level.

In-depth knowledge of U.S. securities law and corporate governance.

Ability to manage numerous time-sensitive matters simultaneously in a fast-paced environment.

Cross-border transactional experience strongly preferred.

Confidence and experience with international matters generally, including cultural aspects of global business.

Excellent organizational, interpersonal, corporate drafting and negotiation skills.

Excellent oral and written communication skills, including demonstrated ability to address issues with precision, clarity and analytical rigor.

Substantial experience with relevant corporate transactions, including mergers, acquisitions, dispositions, investments, financings, and commercial and IP agreements, is preferred.

History of developing, directing and leading deal teams and corporate attorneys to accomplish similar work is preferred.

Additional Qualifications: As the company has built operational hubs in Bogota, Colombia; Lisbon, Portugal; and Frankfurt, Germany, proficiency in Spanish, Portuguese or German is helpful. The successful candidate will need to establish eligibility to work in the United States prior to being accepted for the position.

Working Conditions: The General Counsel will work with an experienced management team based in New York, NY, with occasional travel to Canada, Colombia, Portugal and Germany as well as other occasional travel expected. We would anticipate travel entailing one international trip per quarter. Clever Leaves is a remote-friendly workplace.

Compensation: A competitive total rewards package will be offered including base salary, annual performance bonus and a generous equity package.
