Blockchains, LLC (“we” or “Company”) is a technology startup dedicated to conceptualizing, building, and incubating blockchain-powered ideas. We are working to accelerate blockchain adoption in order to improve upon the current legacy systems on which many industries and the internet rely. To do so, we are developing blockchain-based infrastructure, with an emphasis on digital asset custody and management, digital identity, reputation, and the ability to connect physical devices to the Ethereum blockchain.

WHAT YOU WILL DO

Reporting to the Executive Vice President, you are responsible for the global legal affairs of the Company. You will bring your knowledge and experience in optimizing legal operations while strategically managing risk using the latest in corporate legal strategies. You will proactively examine all facets of the Company’s operations to create policies, procedures, and legal strategies that position the organization for long-term success.

Practice Areas

Primary practice areas include intellectual property, capital markets, employment, general corporate, contracts, digital asset custody, stablecoin, payments, exchanges, self- sovereign digital identity, privacy, financial services, mergers and acquisitions, residential and commercial land development, water rights, and energy.

Executive Corporate Counsel Responsibilities

Anticipate legal issues and identify proactive solutions to eliminate or mitigate legal risks.

Oversee the delivery of legal services and resources across departments to accomplish organizational goals, strategies, and priorities.

Work closely with the Director of Compliance to support product compliance efforts.

Lead the legal department through a multi-product launch and participate in product and cross-functional development throughout the life cycle of these initiatives.

Guide legal aspects of business development and work closely with ecosystem participants that use the Company’s technology platform.

Cross-Departmental Support

Work closely with product strategy, engineering, and compliance teams to ensure that all product offerings are properly designed, registered, licensed, and operated.

Ensure all relevant departments are educated on intellectual property protection strategies and manage the Company’s intellectual property portfolio.

Advise human resources on all employment law issues and potential risks that may arise in the recruiting, operation, and termination processes.

Lead Company’s data and privacy initiatives to comply with global data and privacy regulations through advice and implementation with IT and engineering teams.

Advise the Government Relations department on legislative and regulatory initiatives.

Maintain and support a culture of legal compliance.

Contract Negotiation and Drafting

Draft contracts, policies, and related documents, including privacy policies, terms of use/service, software licensing (including proficiency in open source licenses), data sharing, employment, joint ventures, partnerships and vendor agreements, intellectual property licensing, NDAs, and LOIs.

Negotiate and document complex corporate transactions, including mergers and acquisitions.

Securities and Capital Raising

Assist with the creation, structuring, regulatory analysis, and launch of private placements of equity and/or debt securities.

Provide targeted advice and support in connection with potential public offerings and SEC filings, including proxy statements, 10-Ks, 10-Qs, and 8-Ks.

Engage proactively with state and federal regulators to educate them about our business and preview forthcoming initiatives and product launches.

Regulatory Research, Analysis, and Application to Operations

Keep abreast of legal developments, particularly those impacting the blockchain, cryptocurrency, custody, and identity industries at the global, federal, and state levels.

Analyze key legal developments and educate leadership on new legislative or regulatory developments’ impact on the Company.

Translate global, federal, and state laws governing the Company’s technology platform into technical and operational legal requirements, auditing functions, reporting, and mitigation tactics.

Management of Legal Department

Oversee all aspects of the Company’s legal function and build a legal team as the Company needs to grow.

Establish a relationship with current and future members of the legal team, maintain regular interaction, and provide consistent support to ensure that team members have access to advice and guidance as they chart a path to success at the Company.

Provide counsel and assistance to the legal team on ethical situations and crisis management.

Select and oversee outside counsel law firms and manage departmental spending.

Create an annual departmental budget and prepare and provide reports for regular briefings with EVP and CEO.

Real Property Development

Manage and direct real estate transactions, including the preparation and review of documents, the negotiation of terms and conditions, and the transference of titles.

Project manage and oversee due diligence as part of an acquisition or lease.

Represent the Company at city and county board and commission meetings and in court as directed; render legal advice on agenda items, commercial development, public utilities, and distributed energy grid systems as may be required.

WHAT YOU WILL NEED TO SUCCEED

To ensure success, you must possess strong initiative, communication, and management skills while having deep knowledge and understanding of the laws and regulations applicable to our operations. We are a software development and real estate development company. The ideal candidate will have skill sets that can successfully navigate the Company through a myriad of initiatives.

You will have a proven track record of making sound and prudent legal decisions, while being a team player with outstanding advocacy and people skills. You will have strong business judgment, the ability to persuade, outstanding leadership qualities, and integrity. You will have an in-depth understanding and appreciation for how legal operations impact emerging technology companies along with an understanding of the balance between accomplishing business objectives and mitigating legal risks throughout the product development, launch, and operation processes. You multi-task effectively and organize workflow based on the Company’s priorities. You have a passion for startup environments and are not reluctant to roll up your sleeves and help wherever you are needed.

YOUR EDUCATION AND EXPERIENCE

This position requires a JD from an ABA-accredited law school and 7-10 years of legal experience, with a minimum of 5 years in-house experience. Experience in a pre-product/pre-revenue technology company is strongly preferred.
