Essential Functions:

· Serve as the chief counsel of Hudson Regional Hospital, reporting to the Hospital’s CEO and supporting Board of
Directors and Chairman of the Board in any legal matters.

· Counsel on a broad range of general healthcare matters, including regulatory and compliance matters, HIPAA, EMTALA, Stark and anti-kickback issues, as well as risk management, general corporate governance and employment law issues.

· Work closely with Hospital leadership to understand strategic initiatives and business needs and establish and influence appropriate legal considerations, risk analyses, and decision-making to assure consistency with strategic objectives.

· Review, draft and negotiate contracts in furtherance of strategic objectives, including but not limited to those relating to practice acquisitions, joint ventures, real estate transactions, and vendor contracts.

· Lead internal audit and compliance program and advise on hospital risk management.

· Work with and support other members of the legal department in any day-to-day legal matters that arise and manage outside counsel.

Educational/Experience Requirements:

· J.D. degree from an ABA accredited law school and current admission to the Bar of New Jersey. Admission to Bar of New York a plus.

· Minimum of 10+ years of experience practicing law, and at least 5+ years of legal experience at a hospital or
healthcare system, or equivalent responsibility.

· Strong regulatory background in HIPAA, EMTALA, anti-kickback, Stark, and state and federal statutes.

· Experience with hospital compliance and risk management.

· Experience with physician practice acquisitions, joint ventures, real estate transactions, and compensation
practices, including fair market value analysis.

· Demonstrated ability to interact with executives, physician leaders, and board of directors.

· Strong transactional experience and business acumen required, as well as excellent contract drafting and negotiation skills.

· Ability and willingness to handle a variety of tasks across a broad range of substantive areas and to learn new areas
quickly.

· Highly developed strategic and conceptual/analytical skills.

· Ability to make decisions and prioritize work with sensitivity to importance of issues involved and balance information
gathering with timely action.
