The Chief Legal Officer represents and directs the representation of Delta County Memorial Hospital (DCMH) in all legal matters; serves as legal advisor to the CEO and Executive Leaders, Hospital Departments and the Board of Trustees. The Chief Legal Officer serves as a general resource on legal matters and issues of DCMH procedure and governance. Manage and direct compliance and risk programs to enhance our existing programs and implement new policies and procedures. Provide guidance and support to DCMH on compliance related matters, including but not limited to, federal and state fraud and abuse laws and other health care regulatory laws that arise in the context of hospital inpatient/outpatient and clinic related business.

Position Responsibilities:

Specific duties and responsibilities of the Chief Legal Officer shall include, but not be limited to the following:

Identify and interpret federal, state and local laws, regulations, ordinances, rules and executive orders applicable to the DCMH and their operations. Recommend the means of compliance.

Provide advice regarding all legal matters involving outside agencies or complainants.

Provide legal representation, advice, counsel, and opinions in all areas of law affecting the Hospital to include: employee affairs; regulatory compliance; HIPAA; real estate, open records, employment law; legal documents and agreements and all policies and procedures.

Bring legal issues and concerns to the attention of the CEO and assist in developing related policies.

Audit existing policies and procedures for compliance with applicable laws, regulations and professional associations.

Attend monthly Board of Trustee meetings, as requested, and advise the Board in legal matters.

Provide legal representation, advice, and opinions in monitoring and resolving disputes that may lead to litigation.

Coordinate the hospital response to claims filed with administrative agencies, including the Department of Regulatory Agencies; Equal Employment Opportunity Commission; Colorado Civil Rights Commission; OSHA, FLSA, OIG, CMS, USDOJ or other local, state of national regulatory agencies.

Assists, as needed, with hospital responses to external requests for information, reporting, complaints, or citations from external governmental or non-governmental organizations.

Manage contracts to ensure full compliance with contract terms, and conformance with policies, practices and standards to meet business objectives and to ensure compliance with individual terms and government regulations. Examine and create draft agreements, such as employment, customer and vendor agreements. Evaluate new business partnerships with vendors and subcontractors. Initiate the review and negotiation of all commercial and suppliers agreements.

Organizes, directs and supervises all functions concerned with collection, inspection, processing and filing of medical records. Ensures all professional medical services are being described and promptly recorded in accordance with policies, standards of the Colorado State Department of Health and DNV. Oversees the preparation of records for court.

Establish and maintain an effective, comprehensive Compliance Program. Develop, initiate, maintain and revise policies, procedures and practices to prevent, detect and respond appropriately to potentially non-compliant practices. Lead on compliance projects including but not limited to ensuring that any governmental or court requests are complied with in a lawful and timely manner.

Act as DCMH’s HIPAA Privacy Officer.

Responsible for the creation of suitable templates tailored to the business needs to ensure state and federal compliance is maintained.

Ensure that the Hospital is compliant with its data protection obligations, including (but not limited to), requests for personal data, subpoenaed data requests, court requests, DSARs, privacy policies, privacy assessments and data processing agreements.

Work closely with the various departments to provide recommendations and comprehensive legal and compliance support where required, including state and federal level laws and regulations.

Notifies the hospital’s liability carrier of Notices of Claim of any potential liability cases.·

Works with the hospital liability carrier’s attorney on medical or general liability cases or other legal aspects concerning the hospital and its employees.

Other duties as assigned by the Hospital CEO.

Required Education and Experience:

Juris Doctorate degree from a law school approved for accreditation by the American Bar Association, a member in good standing of the Bar of the supreme court of the state in which he or she practices law, and the prompt eligibility for such license and standing in Colorado.

A minimum of 10 years of legal practice experience in a relevant area, having attained a senior position of responsibility in firm, corporation, government agency, or other organization that employs him or her. Five years as general counsel of a large educational, non-profit, for-profit, or governmental organization, or equivalent role as outside counsel, is preferred.

Record of exercising excellent judgment on behalf of clients including large and complex organizations and issues.

Commitment to the highest ethical and professional standards; personal and professional integrity beyond reproach; unquestioned discretion in maintaining confidentiality.

Job Relationships:

Responsible to: Chief Executive Officer (CEO)

Workers Supervised: Medical Records Department;

Interrelationships: Works closely with the Executive Officers, Board of Directors, Medical Staff, Department Managers/Supervisors and other healthcare facilities and services.

Skills:

Excellent written and oral communications skills in public and private settings with diverse audiences; ability to translate complex legal issues for a lay audience.

Strong leadership and interpersonal skills, able to collaborate with a diverse population and ability to relate well with elected board officials, executive officers, managers, staff and external organizations.

Essential to be self-motivated, astute and competent to take a proactive role in a wide variety of unpredictable situations.

Essential to have the reasoning ability to deal with complex, dynamic decision making.

Essential to remember and recall a significant amount of information.

Working Conditions:

Standard office working environment. May require evening and weekend hours; may require working at multiple sites; may require local travel; may require prolonged periods of sitting and standing; occasionally requires periods of bending, stooping, and lifting up to 10-pound objects; may require prolonged viewing of computer monitor.
