G2 Capital Advisors has been retained in the search for a General Counsel with a highly accredited graduate school on California's Central Coast.

Role and Responsibilities

In coordination with board chair, prep initial and final drafts of Board agendas for all Board regular, executive, and voting-members-only sessions, and attend same, as well as Board retreats, and perform tasks as assigned between Board meetings, such as prepare/provide specific Board related documentation. [three board meetings annually plus one board retreat]

In coordination with board scribe, extensively edit, and prep, final minutes for all regular, executive, and telephonic Board meetings.

Review documents for and attend all Board Budget & Finance committee meetings, and perform tasks as assigned. [four BFC meetings/year, usually one week in advance of board meetings]

In coordination with President and others, regularly assist in drafting “special” Board documents such as Immigration Statement and China MOU.

In coordination with CFO, prep all Board motions related to ESOP, and unrelated to CFO, all other motions, including as examples, Board policies, and also prepare approved amended By-Laws.

Participate in all valuation (and some additional) calls with ESOP appraiser, and review documents re same.

Have consultations with and give legal advice to board chair about various Board matters, and assist in preparing certain documents including those related to executive personnel, and certain financial matters.

Regularly be in communication with outside corporate counsel re, as examples, ongoing standard issues, and certain special ones such as regarding the Research Center.

Assist in special contentious and financial matters such as the recent refinance and Board approval of settlement with chancellor.

Assist outside corporate counsel in preparing agendas and minutes for, and attend, all shareholder meetings.

Address and give legal advice re restrictions (overflow parking, number of people on campus, etc.) under each campus’ CUP, and communicate and resolve issues with neighbors about their respective CUP’s.

Oversee Administration staff who serve as main contact for Pacifica with its private security and liaison local law enforcement.

Meet with and advise employees re “special” items such as ICE enforcement of immigration laws.

Participate in drafting and reviewing final in-house administrative documents such as Faculty, Student and Employee Handbooks, and in particular policies with legal ramifications, language or risk.

Oversee staff that review and edit various public and other external documents such as statements on website, marketing materials and emails to students or full Pacifica community.

Oversee legal staff regarding IMC [Internal Management Council] weekly review of documents re same.

Oversee legal staff who meet with IFC [Internal Finance Committee] re budgetary and other financial matters, and review documents re same.

Oversee legal staff who regularly assist Director of Financial Aid and outside counsel with DOE and other regulatory compliance issues and communications, including annual Clery reports: consumer protection only for higher ed, associated with Title IX; The Jeanne Clery Disclosure of Campus Security Policy and Campus Crime Statistics Act or Clery Act, signed in 1990, is a federal statute codified at 20 U.S.C. § 1092(f), with implementing regulations in the U.S. Code of Federal Regulations at 34 C.F.R. 668.46.

Assist WASC (Western Association of Schools and Colleges, now called WSCUC—this is our accreditation body, they recommend us to the DOE for eligibility for Title IV funding of students) team with communications re Pacifica history and potentially legal issues.

In coordination with outside counsel and management, prepare documents, strategize, and advocate for Pacifica on issues that arise from time to time such as gainful employment.

Assist outside counsel, CFO and other management with ESOP issues, including items such as DOL ESOP audit.

In conjunction with Paralegal review, critique and edit all internship site agreements with hospitals, governmental agencies and other entities for each counseling and clinical student.

Prepare various kinds of occasional agreements such as student sharing agreement with Mexican University, painting acquisition, totem pole storage, consultant agreements, and ordinary business contracts.

In conjunction with CFO, facilitate and coordinate with outside counsel Pacifica’s defense in pending lawsuits; this includes assisting with production of documents, preparation for depositions and settlement conferences, coordinating logistics with outside counsel, and conferences with concerned employees.

Regularly assist chairs and registrar with potential, current or former students re potential or actual legal issues, such as ADA and Title IX.

Assist CFO with legal issues and prepare various documents such as collection letters.

Regularly consult with HR Director, and assist in resolving various employee legal issues.

Collaborate with CFO to negotiate/resolve OPUS issues, including with JCF. [OPUS is a non-profit historical research center housed on one of campuses; JCF is the Joseph Campbell Foundation]

Advise Retreat Center on various legal matters and prepare/provide legal documentation.

Meet regularly with President/CEO/CFO regarding numerous different items, and resolve or prevent various legal issues, some of which, for example, involve Temenos, and some of which are not described elsewhere in this email. [Temenos is the corporation owned by the founder and his spouse, from whom we lease one of campuses]
